Authorised AIFM definition

Authorised AIFM means an AIFM that is authorised pursuant to the AIFMD, as implemented in the AIFM’s home member or member state of reference, as applicable.
Authorised AIFM means a legal person having its registered office in a member state of the European Union and being authorised as an AIFM (as such term is defined in the AIFMD) by the competent authority designated by such member state as the competent authority in such member state for the purposes of the AIFMD.
Authorised AIFM means: (A) AIFMs established in Luxembourg whose AIF’s assets under management exceed in total either (i) EUR 100 million, including assets acquired through use of leverage or (ii) EUR 500 million, when the portfolio of assets managed consists of AIFs that are not leveraged and have no redemption rights exercisable during a period of 5 years following the date of the initial investment in each AIF (the thresholds under (i) and (ii) are referred to as the “AIFM Thresholds”) and (B) to legal entities established in Luxembourg that do not fall under any of the AIFM Thresholds but have applied for the full AIFM licence under the opt in regime.An External AIFM and an Internally Managed AIF do not benefit from the same range of AIFM Activities as clearly listed in the AIFM Law, the latter being much more restricted in terms of authorised activities under the AIFM Law than an External AIFM. The AIFM Law also authorises an AIFM to delegate certain of its AIFM Activities to a third party, provided, among others, that such delegation can be justified, is strictly controlled by the AIFM and does not result in the AIFM qualifying as a letter box entity. The purpose of this legal alert is to give an overview of the various AIFM Activities that an AIFM is authorised to perform when managing an AIF (I) and of the rules governing their delegation to a third party (II), it being understood that such delegation shall not be used by the AIFM to circumvent its liability towards the AIF(s) and its investors (III). For the purpose of this legal alert, the term “AIFM” collectively refers to External AIFM and Internally Managed AIF, qualifying as Authorised AIFM4 under the AIFM Law.

Examples of Authorised AIFM in a sentence

  • Upon transmission of the notification file, the CSSF shall directly notify the Luxembourg Authorised AIFM about the transmission.

  • Where the concerned AIF is an AIF established in an EU Member State other than Luxembourg, the CSSF shall also inform the competent authorities of the AIF, that the Luxembourg Authorised AIFM may start marketing units or shares of the AIF in Luxembourg.

  • The Luxembourg Authorised AIFM may start marketing the AIFs in the host EU Member State as of the date of that notification.

  • In the case of a positive decision, the Luxembourg Authorised AIFM may start marketing the AIFs in Luxembourg from the date of the CSSF’s notification to that effect.

  • Where the ICAV has not appointed an AIFM that is an Authorised AIFM, the ICAV may only be marketed investors in accordance with local requirements in the jurisdiction of the relevant investor and where the investors are Qualifying Investors or Knowledgeable Investors.

  • Where the ICAV has appointed an AIFM that is an Authorised AIFM, the ICAV may only be marketed within the European Union to investors who are professional clients (as defined in the AIFM Regulations) unless the EU member state in question permits, under the laws of that EU member state, the ICAV to be sold to other categories of investors and this permission encompasses the other categories of investors set out in the definition of “Qualifying Investor” or “Knowledgeable Investor” in this Instrument.

  • Authorised AIFM: An AIFM which has been authorised under the AIFMD.

  • The offering document should also mention that the UCITS-like KIID shall be published on the website of the Registered or Authorised AIFM of the Luxembourg AIF and that it shall be available, upon request, in paper form.

  • Where the ICAV has appointed an AIFM that is an Authorised AIFM, the terms of appointment of any Depositary may authorise such Depositary to avail of a contractual discharge of liability under the conditions set out in the AIFM Regulations.

  • It is understood that such Chapter 16 Manco has to act as Authorised AIFM for at least one AIF.

  • authorised insurer means an insurer that holds an authorisation to carry on insurance business for the purposes of Directive 73/239/EEC or that is otherwise entitled to carry on non-life insurance business in the State;

  • authorised official means a person authorised to implement the provisions of this By-law, including but not limited to–

  • authorised development means the development and associated development described in Schedule 1 and any other development authorised by this Order, which is development within the meaning of section 32 of the 2008 Act;

  • authorised activities means the activities which the Licensee is authorised bythis licence to carry on, and shall include any purpose connected with the supply to any premises of heat produced in association with electricity and steam produced from air and water heated by such heat; and
