Xxxxxxx Duties and Responsibilities. (1) A xxxxxxx will only be granted time off under this provision when requested by an employee in the bargaining unit for assistance with a grievance, or when requested by the Union in writing. In cases which cannot be resolved otherwise, designated union stewards shall be granted reasonable time off, without loss of pay, to investigate and settle grievances when such investigation is required for the prompt and effective settlement of the grievance in question. Stewards must make every effort to minimize work time lost as a result of this Article. Union stewards shall not conduct any grievance work on overtime or holiday time except in emergency situations. It is acknowledged that only one (1) xxxxxxx will work on grievances from any employee. All stewards have productive work to perform as assigned by the Employer. The parties will cooperate to minimize the actual time spent by Union representatives in investigating, presenting, and adjusting grievances or disputes.

Without limiting the generality of the foregoing, Article 98 no Agent shall be subject to any fiduciary or other implied duties, regardless of whether a Default has occurred and is continuing, Article 99 no Agent shall have any duty to take any discretionary action or exercise any discretionary powers, except discretionary rights and powers expressly contemplated by the Loan Documents that the Administrative Agent or the Mexican Administrative Agent is required in writing to exercise by the Required Lenders (or such other number or group of the Lenders as shall be necessary under the circumstances as provided in Section 9.02) and Article 100 except as expressly set forth in the Loan Documents, no Agent shall have any duty to disclose, and shall not be liable for any failure to disclose, any information relating to any KOF Company that is communicated to or obtained by the bank serving as an Agent or any of its Affiliates in any capacity.
