Positions, Duties and Responsibilities. (A) During the Term of Agreement, the Executive shall serve as Senior Vice President and Chief Financial Officer of the Company; shall have the authority, duties and responsibilities customarily exercised by an individual serving in those positions in a corporation of the size and nature of the Company; shall perform such duties relating to the management and operations of the Company, consistent with the foregoing, as may from time to time be assigned to him by the Chief Executive Officer of the Company (the "CEO"); shall be assigned no duties or responsibilities that are materially inconsistent with, or that materially impair his ability to discharge, the foregoing duties and responsibilities; and shall report solely and directly to the CEO.
Positions, Duties and Responsibilities. (a) The Executive shall serve as, and with the title, office and authority of, Chief Executive Officer of the Company and the Company shall use all reasonable efforts to ensure that for the duration of the Employment Period, the Executive is elected or appointed to the Board of Directors of the Company (the "Board of the Company") and to the Board of Directors of Equivest (the "Board of Equivest").

(a) During the Term of Employment, the Executive shall be employed as the Chief Financial Officer and Executive Vice President of each of Holdings and Financial, and shall perform such normal duties, responsibilities, functions and authority and exercise such powers as are incident to such offices. The Executive, in carrying out his executive duties under this Agreement, shall report to the Chief Executive Officer of such companies and shall devote his best efforts and his full business time and attention (except for permitted vacation periods and reasonable periods of illness or other incapacity) to the business and affairs of the Company. The Executive shall perform his duties and responsibilities to the Company hereunder to the best of his abilities in a diligent, trustworthy, professional and efficient manner and shall comply with the Company’s policies and procedures in all material respects.
Positions, Duties and Responsibilities. The Executive shall serve as Senior Vice President and Chief Financial Officer of the Company and/or in such other positions as the Chief Executive Officer of the Company (the “CEO”), the Board of Directors of the Company (the “Board”) or a committee of the Board may from time to time prescribe, with such duties and responsibilities as are customarily assigned to such position(s). The Executive shall report solely to the CEO unless the CEO, the Board or a committee of the Board determines otherwise. The Executive agrees to serve without additional compensation in such capacities (including, without limitation, as an employee or director) with Company and its affiliates as the CEO, the Board or a committee of the Board may in its discretion prescribe. Upon termination of the Executive’s employment with the Company, any employment, board membership or other service relationship with the Company and any Company affiliate shall automatically terminate unless otherwise determined by the parties hereto.
Positions, Duties and Responsibilities. (A) During the Term of Agreement, the Executive shall serve as Senior Vice President, Enterprise Services of the Company, or shall hold such other title and perform such other functions and duties as shall be determined by the Chief Executive Officer.
Positions, Duties and Responsibilities. The Employee shall serve as Chief Executive Officer of Southwest, and, for so long as he shall be elected to the Board of Directors of Southwest, he shall serve as Vice Chairman of the Board without additional compensation hereunder. The Employee's duties and responsibilities as Chief Executive Officer shall include general oversight of the operational performance of Southwest; managing costs and generating revenues in order to achieve excellent financial performance; representing Southwest to its multitude of exterior constituencies; implementing Southwest's current and long range business policies and programs; handling, or overseeing, major contract negotiations; and, in general, maintaining employee morale and esprit de corps. In addition, he shall perform such other corporate duties and discharge such other corporate responsibilities as are specified in the bylaws of Southwest or are] designated from time to time by either the Chairman of the Board of Directors of Southwest or the full Board of Directors.
Positions, Duties and Responsibilities. The Executive at all times shall serve as, and with the title, office, and authority of, the Chief Executive Officer of LifePoint, reporting directly to the Board of Directors of LifePoint (the "Board of Directors" or "Board") as well as serving as a member of the Board and as the Chairman of the Board. LifePoint shall use its best efforts to take such action as may be required to maintain the Executive's status as such.
Positions, Duties and Responsibilities. (a) During the Term of Employment, the Executive shall be employed as the President, Chief Executive Officer and Chief Operating Officer of each of Holdings and Financial, and shall perform such duties and exercise such powers as are incident to such offices and as may be assigned (consistent with the Executive’s position with the Company) from time to time by the Board. The Executive, in carrying out his executive duties under this Agreement, shall report to the Board. It is the intention of the Parties that the Executive shall be elected to and serve as a member of the Board, and Holdings shall use its best efforts to cause its principal stockholders to cause the election of the Executive to the Board. In addition, Executive shall serve as the Deputy Chair of the Board, and the Chairman of the Board of Directors for Financial.
Positions, Duties and Responsibilities. The Executive shall serve as the Head of Casualty Reinsurance of the Company and shall use his best efforts, skill and abilities to promote the interests of the Company, and to faithfully and diligently perform such duties and responsibilities as are customarily assigned to that position, and such other duties and responsibilities as may from time to time be assigned to him by the Chief Executive Officer (the “CEO”) of Aspen Insurance Holdings Limited (“AIHL”) or by such other member of senior management as shall be designated by the CEO.
Positions, Duties and Responsibilities. (a) During the Term, Kapoor shall serve the Company as President and Chief Executive Officer and as a member of the Board of Directors. Kapoor shall have such duties and responsibilities as are incidental to, or reasonably requested in connection with, such positions, as well as such other comparable duties and responsibilities as may be reasonably assigned to him by Delano's Board of Directors or an authorized committee of the Board of Directors. Kapoor shall be located in New York, and shall travel to such other cities as may be required in his reasonable discretion.
