Withdrawal of Products. Riverstone shall have the right to cease production and withdraw any Product from Exhibit A, subject to the last sentence of this Section 4.5, provided Riverstone gives Tellabs a written "Product Withdrawal Notice" at least six (6) months prior to the effective date of the withdrawal. Tellabs may, within sixty (60) days after receipt of a Product Withdrawal Notice, submit a single, non-cancelable "Last Buy" Order for the affected Product prior to the Effective Date of the withdrawal. Riverstone shall not be obligated to accept any Last Buy Order which exceeds one hundred and fifty (150%) percent of the Product units that Tellabs ordered during the twelve (12) month period prior to the date of the relevant Product Withdrawal Notice. Riverstone agrees not to cease production of any Product as long as [ * ].
Withdrawal of Products. Supplier shall notify IBM nine months prior to a withdrawal of any Product(s). IBM will then have six months to place orders and Supplier shall deliver such Product(s) before the withdrawal date or upon mutually agreed upon delivery terms.
Withdrawal of Products. If at any time during the term of this Agreement, the TAH incorporating SynHall valves is withdrawn from the market by any government action or by voluntary recall of Customer, or in the case of the non-approval of the sale and use of the TAH incorporating SynHall valves by the United States Food and Drug Administration or a comparable agency, and such action results in the permanent cessation of sales of TAH incorporating SynHall valves, then Customer’s obligation to purchase under this Agreement shall be limited to any work in progress inventory of Product. If such action is temporary and does not cause permanent cessation of sales of the TAH incorporating SynHall valves, but rather necessitates, for example, a redesign or correction, then any delay in purchasing Product as a result of such action shall not be deemed a breach of the purchasing obligations under this Agreement and any such obligations shall be stayed until sales of the TAH incorporating SynHall valves resume. For purposes of this Agreement, permanent cessation shall mean a suspension of sales of TAH incorporating SynHall valves for more than twelve (12) months.
Withdrawal of Products. Symbios shall notify IBM at least [*] to Symbios' withdrawal of any Product(s). IBM will then have [*] after original notification to place orders and Supplier shall use reasonable efforts to deliver such Products(s) before the withdrawal date or upon mutually agreed upon deliver terms.
Withdrawal of Products. Supplier will notify Buyer at least [*] to Supplier's withdrawal of any withdrawal of the Product. Such withdrawal notice will [*] of the relevant SOW, unless Supplier [*]. Buyer shall ensure that any such Product withdrawals will not affect FRU availability.
Withdrawal of Products. Supplier shall notify IBM (CONFIDENTIAL TREATMENT REQUESTED) prior to Supplier's withdrawal of any Product(s). IBM will then have (CONFIDENTIAL TREATMENT REQUESTED) to place orders and Supplier shall deliver such Product(s) before the withdrawal date or upon mutually agreed upon delivery terms.
Withdrawal of Products. Efficient shall have the right to cease ---------------------- production and withdraw any Product from Exhibit A, provided Efficient gives Reseller a written "Product Withdrawal Notice" at least ninety (90) days prior to the effective date of the withdrawal. Reseller may, within forty-five (45) days after receipt of a Product Withdrawal Notice, submit a single, non-cancelable "Last Buy" Order for the affected Product for delivery within the subsequent three (3) months. Efficient shall not be obligated to accept any Last Buy Order which exceeds fifty (50) percent of the Product units that Reseller ordered during the twelve (12) month period prior to the date of the relevant Product Withdrawal Notice.
Withdrawal of Products. Supplier may cease production and withdraw any Product from Exhibit A, provided Supplier gives Cabletron a written "Product Withdrawal Notice" at least one hundred eighty (180) days prior to the effective date of the withdrawal. Cabletron may, within one hundred eighty (180) days after receipt of a Product Withdrawal Notice, submit a single, non-cancelable "Last Buy" Order for an unlimited quantity of the affected Product for delivery within the subsequent six (6) months.
Withdrawal of Products. Supplier may cease production and withdraw any Product from Exhibit A, provided Supplier gives Cabletron a written "Product Withdrawal Notice" at least [*] ([*]) days prior to the effective date of the withdrawal. Cabletron may, within [*] ([*]) days after receipt of a Product Withdrawal Notice, submit a single, non-cancelable "Last Buy" Order for the affected Product for delivery within the subsequent [*] ([*]) months. Sonoma Systems shall not be obligated to accept any Last Buy Orders which exceeds [*] percent ([*]%) of the product units that Cabletron ordered during the [*] ([*]) month period prior to the date of the relevant Product Withdrawal Notice.
