Withdrawal of Products. Riverstone shall have the right to cease production and withdraw any Product from Exhibit A, subject to the last sentence of this Section 4.5, provided Riverstone gives Tellabs a written "Product Withdrawal Notice" at least six (6) months prior to the effective date of the withdrawal. Tellabs may, within sixty (60) days after receipt of a Product Withdrawal Notice, submit a single, non-cancelable "Last Buy" Order for the affected Product prior to the Effective Date of the withdrawal. Riverstone shall not be obligated to accept any Last Buy Order which exceeds one hundred and fifty (150%) percent of the Product units that Tellabs ordered during the twelve (12) month period prior to the date of the relevant Product Withdrawal Notice.
