Use of Technical Information. (a) Aspect grants to NK a non-exclusive worldwide right and license during the Agreement Term to use the Technical Information in connection with NK's exercise of its rights and licenses granted in Section 2.1, and for no other purpose.
Use of Technical Information. Upon the request of GM, and solely for the ------------------------------- purpose of quality, reliability, and durability testing/evaluation of the Components, DRA will deliver to GM all information relating to the development and manufacture of any and all Components in sufficient detail to permit evaluation of the Components by GM or its designated supplier of testing service(s), provided that such supplier is not a direct competitor of DRA. Such information may include drawings; parts lists; process and material specifications; product software and mask works; purchasing specifications; tool and labor routings; inspection processes; assurance and reliability projections; process capability studies; test reports; and failure mode and analysis studies. Such information will be updated by DRA to show changes in any Components or their manufacture. GM will use such information exclusively for evaluation of the Components. It is agreed by the parties, however, that "Component Interface Materials" (as such items are described in Section 3.2.10 of the Asset Purchase Agreement) are or shall be the property of GM and consequently not subject to the restrictions set forth in this Agreement or in any other between the parties.
Use of Technical Information. Licensor grants to Licensee and its Affiliates a nonexclusive, worldwide, right to use the Technical Information in connection with Licensee's exercise of its rights and licenses granted hereunder.
Use of Technical Information. (a) EURECTEC grants to LICENSEE an exclusive right and license during the term of this Agreement to use the Technical Information in the Territory in connection with EURECTEC's exercise of its rights and licenses granted in Paragraph 2.1 above.
Use of Technical Information. 10.1. THE SELLER’s Proprietary Data THE BUYER expressly recognizes and acknowledges that the Process Technology and Technical Information to be disclosed and licensed by THE SELLER hereunder consist of data, experience and know-how which constitutes THE SELLER’s proprietary and confidential information (hereinafter “THE SELLER’s Proprietary Data”). THE BUYER shall for a period of 10 (ten) years from the Effective Date hold in confidence all of THE SELLER’s Proprietary Data and the knowledge gained there from and shall, furthermore, take all reasonable precautions to prevent the same, in whole or in part, from reaching third parties other than THE BUYER’s affiliates, and shall make no use thereof except for the purposes of this Contract and the operation, maintenance and repair of the Plant without the prior written consent of THE SELLER. However, THE BUYER shall have the right to disclose any or all of THE SELLER’s Proprietary Data to its officers or employees, THE BUYER’s third party Project Manager who is acting on behalf of THE BUYER, BUYER’s and contractors, to the erection Contractor and its subcontractors and vendors to the extent required for the performance of this Contract, provided that the parties or persons to whom such disclosures are made shall have assumed obligations of confidence and restricted use consistent with this Article 10 and in accordance with THE BUYER’s regular procedures established for the protection of THE BUYER’s own proprietary and confidential information. THE SELLER reserves the right to require erection contractor and its subcontractors and vendors to enter into a confidentiality Contract directly with THE SELLER regarding THE SELLER’s Proprietary Data; however, such confidentiality Contracts shall not conflict with the terms of any confidentiality Contract between THE SELLER and THE BUYER.
Use of Technical Information. (a) QUANTUM grants to LICENSEE an exclusive right and license during the term of this Agreement to use the Technical Information in the Territory in connection with QUANTUM's exercise of its rights and licenses granted in Paragraph 2.1 above.
Use of Technical Information. Seller will provide Buyer with all Technical Information required by the Buyer to install, assemble, and otherwise use the Product.
Use of Technical Information. All data relating to the material and equipment in the purchase agreement, when indicated in writing or stamped by Buyer to be proprietary, shall be retained in confidence by the Seller and his suppliers of all tiers and shall not be disclosed to others without the express written approval of Xxxxx.
Use of Technical Information. Subject to the terms and conditions of this Agreement, Aspect grants to Philips a paid-up, non-exclusive worldwide right and license, with the right to sublicense solely to Philips’ Affiliates, during the Agreement Term to use, display, copy and import the Technical Information in connection with the exercise by Philips and its Affiliates of its rights and licenses granted in Section 2.1, and for no other purpose and Philips may distribute such Technical Information to its Affiliates solely for such purpose. All Technical Information shall be considered to be the Proprietary Information of Aspect for the purposes of Section 8.
Use of Technical Information. The Service Provider hereby agrees that the Business will have exclusive right to use any information, know-how or technology provided by the Service Provider to the Business during the supply of the Technical Services specified in Annexure A, which shall only be used for its own personal use, and shall not be disclosed to any third party.
