Transition Care Planning. A.Transition care services are those services necessary in order to safely maintain a person in the community both prior to and after the effective date of their enrollment in the project up until the time the Plan of Care is implemented. For recipients who are transferring from another home and community based service waiver program, the contractor shall ensure continuation of needed services during the transition phase.

Transition Care Planning. For recipients who are transferring from another home and community based services waiver program or another diversion contractor, the contractor shall ensure continuation of needed services in accordance with the current care plan until a new care plan is developed during the transition phase. By the first date of enrollment, the contractor must provide transition care services in collaboration with CARES staff and assume responsibility for meeting the enrollee’s care needs. The contractor must ensure that enrollment in the project does not interrupt or delay the delivery of services needed by the enrollee.

Transition Care Planning. Transition care services are those services necessary in order to safely maintain a person in the community both prior to and after the effective date of their enrollment in the project up until the time the Plan of Care is implemented. CARES staff will notify the contractor, the lead agency, and when appropriate, hospital discharge planning staff regarding the need for a transition care plan. CARES staff will forward, to each of these entities, any information collected during the clinical eligibility determination process related to the person's health status, functional status, caregiver, social support system, living environment and how current service needs are being met. By the first date of enrollment, the contractor must provide transition care services in collaboration with CARES staff, and be able to assume responsibility for meeting the enrollee's care needs. The contractor must ensure that enrollment in the project does not interrupt or delay the delivery of services needed by the enrollee.

  • Transition Planning The AGENCY will be responsible for the development of the student’s Transition Plan, which begins upon entry and is completed prior to the student’s exit.

  • Financial Planning Services The Executive shall receive financial planning services, on an in-kind basis, for a period of eighteen (18) months following the Date of Termination. Such financial planning services shall include expert financial and legal resources to assist the Executive with financial planning needs and shall be limited to (i) current investment portfolio management, (ii) tax planning, (iii) tax return preparation, and (iv) estate planning advice and document preparation (including xxxxx and trusts); provided, however, that the Company shall provide such financial planning services during any taxable year of the Executive only to the extent the cost to the Company for such taxable year does not exceed $25,000. The Company shall provide such financial planning services through a financial planner selected by the Company, and shall pay the fees for such financial planning services. The financial planning services provided during any taxable year of the Executive shall not affect the financial planning services provided in any other taxable year of the Executive. The Executive’s right to financial planning services shall not be subject to liquidation or exchange for any other benefit. Such financial planning services shall be provided in a manner that complies with Treasury Regulation Section 1.409A-3(i)(1)(iv).

  • Business Continuity and Disaster Recovery Bank shall maintain and update from time to time business continuation and disaster recovery procedures with respect to its global custody business, which are designed, in the event of a significant business disruption affecting Bank, to be sufficient to enable Bank to resume and continue to perform its duties and obligations under this Agreement without undue delay or disruption. Bank shall test the operability of such procedures at least annually. Bank shall enter into and shall maintain in effect at all times during the term of this Agreement reasonable provision for (i) periodic back-up of the computer files and data with respect to Customer and (ii) use of alternative electronic data processing equipment to provide services under this Agreement. Upon reasonable request, Bank shall discuss with Customer any business continuation and disaster recovery procedures of Bank. Bank represents that its business continuation and disaster recovery procedures are appropriate for its business as a global custodian to investment companies registered under the 1940 Act.

  • Post-Employment Cooperation Executive agrees to fully cooperate with the Employer in the defense or prosecution of any claims or actions now in existence or which may be brought in the future against or on behalf of the Employer which relate to events or occurrences that transpired or which failed to transpire while Executive was employed by the Employer. Executive also agrees to cooperate fully with the Employer in connection with any internal investigation or review, or any investigation or review by any federal, state or local regulatory authority, relating to events or occurrences that transpired or failed to transpire while Executive was employed by the Employer. Executive’s full cooperation in connection with such matters shall include, but not be limited to, providing information to counsel, being available to meet with counsel to prepare for discovery or trial and acting as a witness on behalf of the Employer at a mutually convenient times.

  • Assistance and Cooperation After the Closing Date, each of Seller and Purchaser shall:

  • Post-Termination Cooperation Following any termination of this Agreement, all Parties shall thereafter cooperate fully and work diligently in good faith to achieve an orderly resolution of all matters resulting from such termination.

  • Training Services Training Services may include pre-packaged training Products, and/or the development or customization of training programs as requested, including Live Training, Computer Based/Multi-Media Training which encompasses Internet-Delivered Training, and/or Video Based Training.

  • Disaster Recovery and Business Continuity The Parties shall comply with the provisions of Schedule 5 (Disaster Recovery and Business Continuity).

  • Transition Seller will not take any action that is designed or intended to have the effect of discouraging any lessor, licensor, customer, supplier, or other business associate of the Company from maintaining the same business relationships with the Company after the Closing as it maintained with the Company prior to the Closing. The Seller will refer all customer inquiries relating to the business of the Company to the Purchaser from and after the Closing.
