Royalty Reports and Royalty Payments. Licensee shall deliver to Rice within forty-five (45) days after the end of each calendar quarter, any part of which is within the Term of this Agreement, a written report, certified by the chief financial officer of Licensee and setting forth in reasonable detail the calculation of the royalties due to Rice for such calendar quarter, including, without limitation:

Royalty Reports and Royalty Payments. Within forty-five (45) days after the end of each quarter (ending November 31, February 28, May 31 and August 31) during the Royalty Period, Licensee shall submit to Licensor a written report with respect to the preceding calendar quarter (“Royalty Report”) stating: (a) the Net Sales of Licensed Products that were made using the Licensed Technology and were sold to consumers by Licensee and its Affiliates during such calendar quarter and for which a Royalty is due under Section 4.1; and (b) a calculation of the amounts due to Licensor. Concurrently with providing such Royalty Report, Licensee shall make payments to Licensor in the amounts due in accordance with the Royalty Report.
Royalty Reports and Royalty Payments. All amounts payable to Eureka pursuant to Section 8.3 will be paid within 30 days after the end of each Calendar Quarter. Each such payment of royalties due to Eureka will be accompanied by a written report showing in Dollars the amount of Net Sales of Licensed Products in and royalty due for such Calendar Quarter. The report will include, at a minimum, the following information for the applicable Calendar Quarter, each listed by Licensed Product and by country of sale: (a) the number of units of each Licensed Product on which royalties are owed to Eureka hereunder sold either by Licensee or its Affiliates or its Sublicensees, (b) the gross amount received for such sales, (c) Net Sales in Dollars, and (d) the royalties owed by Licensee to Eureka.
Royalty Reports and Royalty Payments. Within thirty (30) days after the end of each Calendar Quarter, commencing with the Calendar Quarter during which the First Commercial Sale of the first Licensed Product is made anywhere in the Territory, iBio shall provide RubrYc with a report that contains the following information for the applicable Calendar Quarter, on a Licensed Product-by-Licensed Product and country-by-country basis (each such report, a “Royalty Report”): (i) the amount of Net Sales of each Licensed Product sold during such Calendar Quarter reporting period by all Selling Entities including supporting calculations showing the gross invoices/xxxxxxxx and permitted deductions; (ii) a calculation of the Royalty Payment due on such Net Sales; and (iii) the exchange rate used for converting any Net Sales and any supporting calculations recorded in a currency other than U.S. Dollars. Promptly following the delivery of the applicable quarterly Royalty Report, RubrYc shall invoice iBio for the royalties due to RubrYc with respect to Net Sales for such Calendar Quarter, and iBio shall pay such amounts to RubrYc in Dollars within thirty (30) days following iBio’s receipt of such invoice. If no royalty is due for any Calendar Quarter following commencement of the reporting obligation, iBio shall so report.
Royalty Reports and Royalty Payments. Commencing with the First Commercial Sale of a Product in the MTPC Territory, MTPC shall deliver, in writing, to ADCT (a) estimates of Net Sales for each Calendar Quarter within [**] days following the end of such Calendar Quarter and (b) written reports of actual Net Sales for each Calendar Quarter within [**] days after the end of each Calendar Quarter. Such report of actual Net Sales shall include the converted US Dollars amounts, which conversion shall be made at the Exchange Rate for the each calendar month in the Calendar Quarter. Such written report of actual Net Sales shall also include, on a consolidated basis in reasonably specific detail [**]. MTPC shall pay ADCT the royalties set forth in each such report within [**] days of receipt by MTPC of ADCT’s invoice for such royalty payment. If no royalties are due, MTPC shall so report.

Within 45 days of the end of each calendar quarter during the Royalty Period, Buyer shall remit to the Paying Agent all royalties due pursuant to Section 2.3(iv) for the applicable period.

  • PROGRESS AND ROYALTY REPORTS 8.1 For the period beginning [date] LICENSEE will submit to REGENTS a semi-annual progress report covering LICENSEE's activities related to the development and testing of all LICENSED PRODUCTS, LICENSED SERVICES and LICENSED METHOD and the obtaining of necessary governmental approvals, if any, for marketing in the United States. These progress reports will be made for all development activities until the first SALE occurs in the United States.

  • Royalty Reports After the first commercial sale of a Licensed Product anywhere in the world, LICENSEE shall submit to UNIVERSITY quarterly royalty reports on or before each February 28, May 31, August 31 and November 30 of each year. Each royalty report shall cover LICENSEE’s (and each Affiliate’s and Sublicensee’s) most recently completed calendar quarter and shall show:

  • Royalty Payments (i) Royalties shall accrue when Licensed Products are invoiced, or if not invoiced, when delivered to a third party or Affiliate.

  • Royalty Reports and Payments After the first sale of a Product on which royalties are payable by a Party hereunder, such Party shall make quarterly written reports to the other Party within sixty (60) days after the end of each calendar quarter, stating in each such report, separately the number, description, and aggregate Net Sales, by territory, of each such Product sold during the calendar quarter upon which a royalty is payable under Section 6.3 or Section 6.4 above, as applicable. Concurrently with the making of such reports, such Party shall pay to the other Party royalties due at the rates specified in Section 6.3 or Section 6.4 above, as applicable.

  • PATENTS AND ROYALTIES Unless otherwise provided, the Contractor shall be solely responsible for obtaining the right to use any patented or copyrighted materials in the performance of the contract resulting from this Invitation for Bids.   • Royalty Statements The Licensees shall provide Shengqu with a statement within ten (10) Business Days of the end of each calendar month during the Term of this Agreement.

  • Royalty Payment For all leased substances that are sold during a particular month, Lessee shall pay royalties to Lessor on or before the end of the next succeeding month. Royalty payments shall be accompanied by a verified statement, in a form approved by Lessor, stating the amount of leased substances sold, the gross proceeds accruing to Lessee, and any other information reasonably required by Lessor to verify production and disposition of the leased substances or leased substances products. Delinquent royalties may be subject to late fees and penalties in accordance with Lessor’s Rules.

Such report or reports shall be made either on a form or forms of COLT supplied to Lessee or on a form or forms of Lessee that are approved by COLT. Each report shall be certified to be true, accurate, and correct by Lessee and shall be to the satisfaction of COLT. In any event, all of the aforementioned items shall be made available to COLT by Lessee, at all times upon COLT’s request, for any month during the term of this Lease. Such reports shall, at COLT’s request, be accompanied by copies of invoices, purchase orders, sales receipts, bills of lading, truck weight tickets, railroad weight tickets, barge weight tickets, statements of transportation, washing and handling charges, and other forms of verification as may be deemed necessary by COLT.
