Rights Licensed. 2.1 Subject to the terms and conditions set out in this Agreement (and in particular, subject to the payment of the applicable licence fees set out in Annexes A, C and/or D, as applicable), MCPS hereby grants to the Licensee a non-exclusive licence during the Term to:

Rights Licensed. Subject to the terms of this Agreement, VSH hereby grants to VPG, and VPG hereby accepts, a limited, exclusive, royalty-free right and license, to use, directly or indirectly through subcontractors, the Marks (as defined below) and Names (as defined below) listed on Schedule A (the “Licensed Marks”) in connection with the design, development, manufacture, marketing, provision and performance of the products and services of VPG listed on Schedule B (the “VPG Products and Services”). Any use of the Licensed Marks on products other than those on Schedule B is subject to advance written approval by VSH. As used herein, “Xxxx” shall mean any trademark, service xxxx or logo, and “Name” shall mean any entity name or trade name.
Rights Licensed a. Without limiting the rights granted in paragraph 1, Composer assigns to Publisher the first use of the Work in an electronic folio (Anthology) of music, both in the English language, and in translation during the Term and throughout the Territory and it is also understood and agreed that the Publisher may use the Work only in the Anthology during the Term and throughout the Territory.
Rights Licensed. During the Term, and subject to NCAA and Conference rules, University hereby grants IMG an exclusive license to produce and sell sponsorship/advertising in such game publications and yearbooks for any of athletic teams operated under the supervision and oversight of the athletic department. The license for the publications shall not include front covers, which University reserves, except IMG may place sponsor recognitions on all front covers.
Rights Licensed. During the Term, University hereby grants IMG an exclusive license to solicit and sell sponsorship recognition for all such items, which are currently being utilized, and any others, which may be subsequently created and/or University approved. Such items include, but are not limited to:
Rights Licensed. On payment of the full Contract Fee, the Producer shall acquire an exclusive license to produce a single Production made from the Script, the right to translate the Script Material for dubbing purposes, and an exclusive license for all distribution, other Additional Use and as provided for in the contract. Rights Licensed a) The rights licensed to Licensee hereunder are exclusive exhibition and broadcast rights in all forms of Standard and Non-Standard Television. Any proposed exploitation by Licensee in Video on Demand, Consumer Video Devices and other forms of new media rights, such as interactive rights, must be approved by Licensor and, if approved, all revenues received by Licensee from such exploitation will be shared equally by Licensor and Licensee. If Licensor intends to grant Video on Demand, Consumer Video Devices and other forms of new media rights to third parties during the Term, it will first negotiate with Licensee regarding Licensee’s acquisition of such rights and, if agreement cannot be reached, will give Licensee a final written offer. If Licensee does not accept the final offer and Licensor subsequently decides to accept an offer from a third party for such rights which is less favorable to Licensor than its final offer to Licensee, it will first give Licensee the opportunity to enter into an agreement for such rights on terms substantially similar to those of the third party offer. Licensor will not, in any event, grant any third party the right to exhibit or to authorize downloads of the Pictures on the “Internet” or via similar technology unless it requires the third party to impose a meaningful charge on the viewers for such exhibition or download.
Rights Licensed. The right to reproduce or use any photography is conditioned on Photographer's receipt of payment in full and on Clientʼs use of proper copyright notice on all copies of the photograph (s). Unless otherwise stated on the face of this agreement, the duration of any license is one year from the date of this agreement; and the license is for English language use in the United States of America only. Except as expressly licensed by Photographer in this agreement, Photographer reserves all other rights to the photographs of every kind and nature. No license is valid unless signed by Photographer. No rights may be assigned or transferred without Photographer's written consent or acceptance of resale certificate properly issued by Client.
Rights Licensed. The licensed rights are transferred only upon: (a) Client’s acceptance of all terms contained in this Agreement, (b) Licensor’s receipt of full payment, and (c) the use of proper copyright notice and other Copyright Management Information requested or used by Licensor in connection with the Image(s). Licensor is willing to license the Image(s) to Client only upon the condition that Client accepts all of the terms of this Agreement. Unless otherwise specifically stated on the front of this Agreement, all licenses are non-exclusive and the duration is one year from the date of Licensor’s invoice and for English language use in the United States of America only. Licensor reserves all rights in the Image(s) of every kind and nature, including, without limitation, electronic publishing and use rights, in any and all media, throughout the world, now existing and yet unknown, that are not specifically licensed or transferred by this Agreement. No license is valid unless signed by Licensor. Client shall not assign any of its rights or obligations under this Agreement. This Agreement shall not be assignable or transferable without the prior written consent of Licensor and provided that the assignee or transferee agrees in writing to be bound by all of the terms, conditions, and obligations of this Agreement. Any voluntary assignment or assignment by operation of law of any rights or obligations of Client shall be deemed a default under this Agreement allowing Licensor to exercise all remedies including, without limitation, terminating this Agreement, obtaining all net worth or financial information of any assignee and full and timely performance of all obligations and complete and substantial assurances of all future performance.
