Reservation of Intellectual Property. Subject to the limited rights expressly granted by Itron to Customer under this Agreement: (i) Itron reserves all rights, title and interest in and to all of its Intellectual Property, and (ii) as between the Parties, Itron owns all rights, title and interest in and to its Confidential Information and the products, services and related deliverables provided by Itron under this Agreement. Subject to the limited rights expressly granted by Customer to Itron under this Agreement, Customer reserves all rights, title and interest in and to all of its Intellectual Property, and (ii) as between the Parties, Customer owns all right, title and interest in and to its Confidential Information and Customer Data. All rights, titles, and interests not specifically and expressly granted by either Party hereunder are hereby reserved.

Reservation of Intellectual Property. In connection with this Agreement entered into between Consultant and SCS, Consultant, its agents, employees, or representatives may disclose practices and materials that are the intellectual property of Consultant, including but not limited to: participant notebooks for Professional Services Institutes or Hybrid Coaching days; EL Commons Resources – Consultant-branded Professional Learning Packs; and keynotes and other customized materials for delivery at Conferences or Institutes (hereinafter, the “Content”). The Content is being disclosed for the purpose of implementing the package of professional development services at SCS. The Content is intellectual property owned by Consultant and it may be disclosed to SCS in hard copy format, electronic format, downloadable media format, and/or may be available for viewing and/or downloading via the EL Commons web portal. No license or other rights of any kind are granted or conveyed by the act of transmitting or making available proprietary or copyrighted Content to SCS under this Agreement, except for the limited license to use the Content for the purposes expressly provided to SCS in the Agreement. Any use of the Content in contravention of the terms set forth herein is a violation of the Agreement and U.S. Copyright law. The entire right, title, and interest in the intellectual property rights and the Content made available to SCS in furtherance of the Agreement entered into with Consultant, including all copyright, patent, trademark, trade secret, or other legal rights shall remain the exclusive property of Consultant. SCS, its employees, agents, and representatives are permitted to use the Content within SCS, but shall be prohibited from sharing, distributing, or disseminating the Content to institutions or individuals outside of SCS. No license or other rights of any kind are granted to SCS under this Agreement to reproduce the Training provided by Consultant staff for other internal SCS or external audiences. SCS further agrees that it will not reproduce the training provided by Consultant staff for other internal SCS or external audiences without Consultant’s consent. Upon separation from employment with SCS, employees, agents, or representatives of SCS who received training from Consultant’s staff and Content belonging to Consultant are prohibited from using or reproducing the Content and/or Training provided by Consultant to SCS. The Executive agrees to immediately disclose to the Company all Work Product. For purposes of this Agreement, “Intellectual Property” shall mean any patent, copyright, trademark or service xxxx, trade secret, or any other proprietary rights protection legally available.
