No Other Assignments. Bank represents and warrants to Collateral Agent, on its behalf and on behalf of Buyers, that no other notices of assignment of, lien upon or security interest in the Accounts or the Account Collateral are reflected in Bank’s records concerning the Accounts, and Bank has no knowledge of any such assignment or lien. The Company hereby instructs Bank and Bank hereby agrees to record in Bank’s records concerning the Accounts any such notice of assignment of the Accounts that it receives, including the notice conferred by this Agreement. Bank agrees with and covenants to Collateral Agent, on its behalf and on behalf of Buyers, that it shall not enter into any other agreement with any Person which would obligate Bank to follow such Person’s instructions with respect to the Account or the Account Collateral, or which would otherwise confer control of the Accounts or the Account Collateral upon such Person.

Borrower hereby instructs Bank and Bank hereby agrees to record in Bank’s records concerning the Accounts any such notice of assignment of the Accounts that it receives, including the notice conferred by this Agreement. Bank agrees with and covenants to Agent that it shall not enter into any other agreement with any Person which would obligate Bank to follow such Person’s instructions with respect to the Account or the Account Collateral, or which would otherwise confer control of the Accounts or the Account Collateral upon such Person.
No Other Assignments. Bank represents and warrants to Secured Party that no other notices of assignment of, lien upon or security interest in the Account or the Account Collateral are reflected in Bank’s records concerning the Account. The Customer hereby instructs the Bank and the Bank hereby agrees to record in the Bank’s records concerning the Account a notice of the assignment of the Account conferred by this Agreement in a form that comports with the Bank’s customary account practices. Bank agrees with and covenants to Secured Party that it shall not enter into any other agreement (other than the Bank’s customary deposit agreements with the Customer with respect to the Account) with any person which would obligate Bank to follow such person’s instructions with respect to the Account or the Account Collateral, or which would otherwise confer control of the Account or the Account Collateral upon such person.
No Other Assignments. Hyperion does hereby assume all obligations with respect to the Marketed Products Technology including Marketed Products Patents on and following the Marketed Products Closing Date. Except for the foregoing, the rights specifically assigned herein and those obligations assumed under the Agreement, Hyperion does not assume hereunder any other liabilities or obligations of Ucyclyd. Nothing contained herein shall be construed to limit, modify, expand or amend the rights and obligations of Ucyclyd or Hyperion under the Agreement.
No Other Assignments. The Parties acknowledge and agree that Hubei ShengrongHubei Shengrong do not have any obligation to assign, convey, sell or transfer to Xxxxxxxxx XXXX, and shall not be deemed to have assigned, conveyed, sold or transferred to Xxxxxxxxx XXXX, in each case, whether hereunder or under any other Transaction Agreement, any right, title or interest in or to any Intellectual Property Rights other than those expressly provided in Section 2.1.
No Other Assignments. The Assignor has not heretofore assigned to any other Person any rights under the Construction Contract or the other Assigned Collateral.

Mortgagor hereby represents to Mortgagee that there is no assignment or pledge of any Leases of, or Rentals from, the Property now in effect, and covenants that, until the Notes are fully paid and the other Secured Obligations are fully satisfied, Mortgagor will not make any such assignment or pledge to anyone other than Mortgagee nor will it accept any periodic payments which are to be made pursuant to such Leases or Rents more than ten (10) days in advance of the date on which such payments are due.

Bank hereby agrees that any such notice of control, assignment, grant of security interest, or Lien of any kind in respect of the Collateral that it receives, including the notice conferred by this Agreement, will be recorded in Bank’s records concerning the Collateral and Bank will immediately notify Agent upon receipt thereof. Bank agrees not to allow any person or entity other than Agent and Bank (to the extent permitted in Section 12 below) to withdraw amounts from the Collection Accounts (it being acknowledged, however, that Pledgors have the rights to utilize funds in the Collateral Accounts to the extent provided in Sections 3 and 5 hereof).
