Referral of Opportunities. Neither the General Partner nor any other Related Person shall be obligated to disclose or refer to the Partnership any particular investment opportunity, whether or not any such opportunity is of a character which could be taken by the Partnership.

(a) Within the Primary Territory, all telecommunications, communications and entertainment projects and opportunities, which are in competition to and/or within the Business of the Company, must be referred by the Shareholders to the Company only. In the event that the Board of Directors or the Shareholders decide that the Company shall not pursue the referred projects or opportunities, any Shareholder who voted affirmatively or whose directors voted affirmatively in favor of the Company pursuing the referred project or opportunity shall be entitled to itself pursue such project or opportunity, independently of the Business of the Company.

Referral of Opportunities. 12.1 Each Party undertakes in favour of the other Party that if it or any of its Affiliates or any of its personnel, for the subsistence of this MOU, is offered, finds, solicits, invents or otherwise comes across any opportunity (unilaterally or in conjunction with the other Party) to enter into a transaction involving the Parties' competencies as detailed in 6, then that Party ("Notifying Party") shall forthwith notify the other Party in writing ("Opportunity Notice") of that opportunity ("Subject Opportunity") which Opportunity Notice will set out all information known by it in relation thereto (subject, to the extent reasonably required by the Notifying Party, to signature of confidentiality undertakings and subject also to compliance with all regulatory restrictions on disclosure).

The Channel Partner shall notify Gretis with the details of the Opportunity including, but not limited to, the description, timeline, budget, competition and the Prospect’s identification, sector, market and specific needs and/or demands, as the case may be. Gretis may, in its sole discretion, accept or reject any referred Opportunity, and Channel Partner acknowledges that Gretis may reject any Opportunity for any reason, including, but not limited to: (i) existing opportunities with Gretis customers (except those originating from a previous referral by Channel Partner); (ii) opportunities originated by Gretis and with whom Gretis is, or has been, in discussions; (iii) and opportunities that have already been the subject of a referral by another Channel Partner and that have been approved by Gretis . If the Opportunity is accepted Channel Partner will receive a formal notification through Channel Partner centre portal. Absence of such notification means that the Opportunity has not been accepted by Gretis .

For so long as the Manager is providing Services to Royal and/or the Opportunities Partnership, the Manager and each of its Affiliates (including the Manager Control Parties) shall present to Blackstone all potential Opportunities of which it becomes aware and shall (i) not acquire any Opportunities for their own account or (ii) otherwise compete with the business of the Service Entities within the blue area shown on Exhibit B hereto, but only to the extent such Service Entities are operating within such blue area. Notwithstanding the preceding sentence, if any Opportunity is presented to Blackstone by written notice and Blackstone does not approve and intend to pursue in good faith such Opportunity within 10 calendar days following the date of such notice, then the Manager, any Manager Control Party or any of their respective Affiliates may pursue such Opportunity (including competing with the Service Entities) only with the prior written consent of Blackstone. To the extent Blackstone elects to pursue such Opportunity through any of the Service Entities, Blackstone and the Manager will (x) jointly pursue such Opportunity; provided, that, Manager’s involvement in such Opportunity shall be at the sole discretion of Blackstone; (y) use commercially reasonable efforts to agree on additional compensation to Manager pursuant to such joint pursuit of any such Opportunity (including but not limited to additional incentive or other equity interests and/or opportunities for co-investment) and (z) use commercially reasonable efforts to agree on any necessary amendments to the Budget for providing Services to the relevant Service Entities in pursuit of, and following the consummation of, such Opportunity, as applicable.
