The Company and each other party shall be entitled to rely on a notice or instruction from the Sponsor Parties Representative on behalf of a Sponsor Party.
Each of BSAQ and the Sponsor Parties hereby agrees that (i) the Registration Rights Agreement in relation to BSAQ shares dated as of July 15, 2021, and (ii) any working capital loans made by Sponsor or any other Sponsor Party to BSAQ to be forgiven and cancelled pursuant to Section 5.5 shall terminate as of the Closing, and thereafter shall be of no further force and effect.
Any notice by any party to the Sponsor Parties Representative made in accordance with this Agreement shall be deemed to be a notice to all of the Sponsor Parties, and any notice of any Sponsor Party to the Company or any other party shall be valid only if given by the Sponsor Parties Representative.
All notices and other communications hereunder shall be in writing and shall be deemed given if delivered personally or sent by overnight courier (providing proof of delivery) to the Company, PubCo and SPAC in accordance with Section 12.3 (Notice) of the Business Combination Agreement and to each of the Sponsor Parties at its address set forth set forth on Schedule A hereto (or at such other address for a party as shall be specified by like notice).
Notwithstanding anything in this Agreement to the contrary, nothing herein will be construed to limit or affect any action or inaction by any of the Sponsor Parties or SPAC Directors serving as a director, officer, employee or fiduciary of SPAC or PubCo (as the case may be).
