Property Information. Within seven (7) days following the execution hereof, Seller will deliver to Buyer, to the extent they exist or are available to Seller, the documents listed below (all of said documents sometimes collectively herein referred to as the "Property Information") and Seller hereby warrants such Property Information is true and correct (such warranty to survive the "Closing"):
(a) A current rent roll reflecting prepaid rent, security deposits, delinquencies, base rent escalations and percentage rent, if any, and historical occupancy reports for the periods covered by the financial statements and current year operating statements;
(b) Copies of all leases and instruments modifying or extending leases and access to lease files;
(c) As-built plans and specifications of all ongoing improvements to the Property, including renovation schedules, contracts, permits and cost breakdowns;
(d) All existing soil and environmental reports;
(e) All existing engineering reports, including, but not limited to, existing and proposed structural, plumbing, electrical, mechanical and civil;
(f) Copies of all maintenance, service, employment and vendor contracts;
(g) Utility availability and capacity letters from the appropriate authorities concerning water, waste water, electricity telephone and gas to the extent the same may be obtained from the relevant governing body;
(h) Copies of real estate tax bills and real estate tax information for the current and three (3) preceding fiscal years;
(i) The most recent metes and bounds, as-built and perimeter surveys, as well as existing and proposed plot plans in the Seller's possession;
(j) Copies of all pleadings for pending or notice of threatened litigation affecting the Property;
(k) Certificates of Occupancy for the Property; and
(l) Such other data, information, plans, files, letters and materials pertaining to the renovation or operation of the Property or the ownership or debt with respect to the Property as Buyer shall reasonably request.
Property Information. (A) To the knowledge of Borrower, the Collateral Properties include sufficient on-site parking to comply with Applicable Law; (B) the Collateral Properties currently abut completed and dedicated public thoroughfares or otherwise benefit from recorded and insurable easements sufficient to provide access (both ingress and egress) to and from the Collateral Properties and such dedicated public thoroughfares; and (C) to the knowledge of Borrower, no archaeological ruins, discoveries or specimens, or cemeteries exist on any Collateral Property.
Property Information. (a) The Parties agree that, prior to the Effective Date, Seller furnished to Purchaser (among other items) copies of the items set forth on Exhibit “C” attached hereto and incorporated herein if and to the extent the same existed, were in Seller’s possession or control, and concern the Property.
(b) Purchaser has had an opportunity to review and copy any third party reports and other information which are in Seller’s files and which relate to the physical condition of the Real Property or the status of the governmental approvals or utility commitments for the Real Property (collectively, the “Property Condition”). In no event, however, is Seller required to furnish to Purchaser any internal reports, memoranda or other items prepared by Seller’s own employees, any proprietary information of Seller, any communications from Seller’s attorneys, or any third party reports dealing with matters other than the Property Condition (including without limitation any property appraisals, financial analyses, market analyses and other similar items).
(c) The items referenced in Sections 3.02(a) and 3.02(b) above, together with all other information provided by Seller to Purchaser are referred to in this Agreement collectively as the “Property Information”. Purchaser acknowledges receipt of and the opportunity to the review the Property Information prior to the Effective Date. Notwithstanding any provision in this Agreement to the contrary, Purchaser agrees and acknowledges that: (i) the Property Information is delivered to Purchaser solely as an accommodation to Purchaser; (iii) Seller has not undertaken any independent investigation as to the truth, accuracy or completeness of any matters set out in or disclosed by the Property Information, except as otherwise specifically provided in this Agreement or the closing documents executed by Seller pursuant to this Agreement; (iii) the Property Information was delivered to Purchaser in its “AS IS” and “WITH ALL FAULTS” condition and Seller has not made and does not make any warranties or representations of any kind or nature regarding the truth, accuracy or completeness of the information set out in or disclosed by the Property Information, except as otherwise specifically provided in this Agreement or in the closing documents executed by Seller pursuant to this Agreement; and (iv) Seller shall have no liability or culpability of any kind or nature as a result of providing the Property Information to Purchaser or as a result ...
Property Information. The Agent shall provide to the Vendor the Property Information Form including the Vendor’s Statement prescribed under the Estate Agents Practice (General Duties and Hong Kong Residential Properties) Regulation duly completed and signed by the Agent.
Property Information. To Seller’s knowledge, the Property Information contains all material documents, files, written information, books and records that Seller is required to deliver to Purchaser under Section 2.1 and the Property Information is true, correct and complete in all material respects.
Property Information. A. The Property will be conveyed by Warranty Deed free and clear of all liens and encumbrances subject to any liens and encumbrances contained in the Sales Contract and the Title Commitment.
B. The Property is selling “AS IS, WHERE IS” and the SALES CONTRACT IS NOT CONTINGENT upon, any state of facts an updated survey or personal inspection of the Property may reveal, any existing or proposed rights-of-way, prior reservation or conveyances, restrictive or protective covenants, easements, encroachments, rights or claims of parties in possession, zoning, building codes, permits, governmental agencies regulations, environmental conditions (including but not limited to wetlands, riparian, or littoral rights), flood zones, zoning or subdivision regulations, hazardous materials, water rights or water access, mineral rights or reservations, leases or tenancies, and subject to all title exceptions as set forth in the Title Commitment.
Property Information. Seller has made or will make available to Buyer copies of, or access to with the right to copy, the following (“Property Information”) for the Property:
(a) copies of the existing Leases for the Property, a schedule of which is attached hereto as Exhibit B;
(b) a current rent roll and aging report for the Property, indicating rents collected, scheduled rents and concessions, delinquencies, and security deposits held (the “Rent Roll”);
(c) operating statements for the two previous fiscal years, or such lesser period of ownership as may be available, and year to date (the “Operating Statements”), true and complete copies of which are attached hereto as Exhibit C;
(d) a list of Personal Property, if any, and a list and copies of any, and service or maintenance agreements, if any, relating to such Property (“Service Contracts”), a schedule of which is attached hereto as Exhibit D;
(e) a statement detailing projected cash flow for such Property over ten (10) years (the “Cash Flow Projection”);
(f) a policy of title insurance for such Property (the “Existing Title Policy”);
(g) a land title survey for such Property (the “Existing Survey”); and
(h) all environmental, engineering or physical condition reports relating to such Property and delivered to Seller or its Affiliates by the seller of such Property at the time such Property was acquired by Seller or its Affiliates, or obtained by Seller or any of its Affiliates at the time such Property was acquired by Seller or its Affiliates, or prepared by or on behalf of Seller or any of its Affiliates since the date such Property was acquired by Seller or its Affiliates, a true and complete listing of which is attached hereto as Exhibit E. Except as otherwise expressly provided in Section 9, Seller makes no representations or warranties as to the accuracy or completeness of the Property Information.
Property Information. 28.1 The Seller must, if requested by the Buyer, at a reasonable time prior to Settlement, provide to the Buyer current copies of all relevant documents in the Seller's possession reasonably required by the Buyer relating to the Property, in particular those referred to in Clauses 12.3(3) and 12.3(9).
28.2 The Seller by this Contract consents to and authorises the Buyer to inspect the records of relevant authorities including body corporate and obtain any necessary certificates relating to the Land and/or Lot and chattels if any included in this sale.
Property Information. The Agent shall provide to the Tenant in respect of the Properties all relevant Leasing Information Forms prescribed under the Estate Agents Practice (General Duties and Hong Kong Residential Properties) Regulation –
(a) obtained from the respective landlords’ licensed estate agents in the case of single agency;
(b) duly completed and signed by the Agent in the case of dual agency or where a landlord is not represented by a licensed estate agent, unless the Tenant expressly waives his right to receive any of them.
Property Information. General Property Details Inspections - To complete a property inspection report at the beginning and end of each new tenancy. Bond - To collect a Bond equivalent to the below stated amount weeks rent and to pay the same to Tenancy Services - Ministry of Business Innovation and Employment within 23 working days of receipt and to refund to the tenant at the end of the tenancy any part of the bond as is in your judgement is appropriate.
