Phase 1 Report. A Phase I environmental site assessment (the “Phase 1”) of the Real Estate may be ordered by Buyer promptly upon acceptance of this Agreement at Buyer’s expense and (if ordered) shall be conducted in accordance with current All-Appropriate-Inquiry standards.

Phase 1 Report. Upon completion of Phase 1, DayStar shall submit a Phase 1 Report to NYSERDA’s Project Manager. DayStar shall include a discussion of the progress of the Facility development and identify any changes from the planned design. DayStar shall also provide a forecast of the economic impact of the project for the remaining phases and use the format shown in Table 1, Metrics Reporting Schedule, to report to update actual economic impact values until project completion.
Phase 1 Report. Buyer shall have until the end of business on August 30, 2011 to object to any material items disclosed in the Phase 1 Environmental Report for the Real Property (the “Material Environmental Matters”) and to notify Seller in writing of any such Material Environmental Matters. If Buyer provides Seller with such notice of Material Environmental Matters, then Seller and Buyer will reasonably cooperate in good faith to resolve such Material Environmental Matters. If Buyer and Seller are unable to agree on the resolution of such Material Environmental Matters, which agreement shall not be unreasonably withheld or delayed, on or before the Closing Date, then (i) Buyer shall have the obligation to close the transaction contemplated by this Agreement despite the Material Environmental Matters, (ii) Buyer shall have the right to correct such Material Environmental Matters within 12 months following the Effective Time, provided such corrections must be approved by Seller, which approval shall not be unreasonably withheld or delayed, and (iii) Seller shall be obligated to indemnify Buyer for up to $5,000,000 of the reasonable costs and expenses incurred by Seller to correct such Material Environmental Matters. Buyer shall have no rights under this Section 11.12(c) if (i) Buyer fails to deliver to Seller written notice of the Material Environmental Matters by the end of business on August 30, 2011 or (ii) Buyer elects to correct the Material Environmental Matters and fails to correct the Material Environmental Matters within 12 months following the Effective Time.
Phase 1 Report. Based upon the information developed in its Phase 1 services (including the City’s cooperation and collaboration with the Developer), the Developer will deliver to the City its Phase 1 Report, setting forth its findings, internal logic, and preliminary recommendations for the implementation of the Master Plan, including a discussion of the weighted planning factors driving development decisions derived from the Developer’s Preliminary Pro Forma and Economic Feasibility Analysis when taking into consideration Project Phasing, suggested PUD Amendments, public financing, Capital Improvement Projects, Community Benefits (including mixed income and workforce Housing), and sustainable Design.

  • Progress Report 10.1 If required, you shall submit progress reports in connection with the Service (“Report”) on at least a monthly basis, or as we may require. The Report shall include a summary of the activities and accomplishments during the previous reporting period.

  • Progress Reports The Recipient shall submit to the OPWC, at the OPWC's request, summary reports detailing the progress of the Project pursuant to this Agreement and any additional reports containing such information as the OPWC may reasonably require.

  • Final Report The goal of this subtask is to prepare a comprehensive Final Report that describes the original purpose, approach, results, and conclusions of the work performed under this Agreement. The CAM will review the Final Report, which will be due at least two months before the Agreement end date. When creating the Final Report Outline and the Final Report, the Recipient must use the Style Manual provided by the CAM.

  • Development Reports Beginning six months after Effective Date and ending on the date of first commercial sale of a Licensed Product in the United States, LICENSEE shall report to Cornell progress covering LICENSEE's (and Affiliate's and Sublicensee's) activities and efforts in the development of rights granted to LICENSEE under this Agreement for the preceding six months. The report shall include, but not be limited to, activities and efforts to develop and test all Licensed Products and obtain governmental approvals necessary for marketing the same. Such semi-annual reports shall be due within sixty days (60) of the reporting period and shall use the form as provided herein as Appendix C.

  • Servicer Compliance Statement On or before March 1 of each calendar year, commencing in 2007, the Servicer shall deliver to the Owner and any Depositor a statement of compliance addressed to the Owner and such Depositor and signed by an authorized officer of the Servicer, to the effect that (i) a review of the Servicer’s activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

  • Management Report Promptly upon receipt thereof, copies of all detailed financial and management reports submitted to Borrower or any other Loan Party by independent auditors in connection with each annual or interim audit made by such auditors of the books of Borrower or any other Loan Party.

  • Annual Compliance Statement Within 80 days after the end of each year (commencing with the year specified in the Adoption Annex) the Issuer will deliver to the Indenture Trustee and the Credit Enhancer an Officer's Certificate stating, as to the Authorized Officer signing the Officer's Certificate, that:

  • Information Package On each Reporting Date the Master Servicer shall deliver to the Administrative Agent and each Purchaser Agent, on behalf of such Purchaser Agent’s Purchaser Group, the relevant Information Package.

  • Monthly Report A. A Monthly Report shall be submitted within ten (10) calendar days of the end of each calendar month of the Period of Operation. Each Monthly Report shall be signed, dated, and certified by Concessionaire, Concessionaire’s Bookkeeper, or Accountant, and contain a Statement of Total Gross Receipts, excluding New Jersey State Sales Tax, derived by Concessionaire from operation of the Concession during the previous month. Each Monthly Report shall be based on the daily “Z” tapes or Point-of-Service (POS) device equivalent for that same month showing each day’s sales activity. Failure on the part of Concessionaire to provide the Monthly Report, when due, shall constitute a material breach of this Agreement subject to Suspension of Operations and/or Termination, in accordance with the terms and conditions set forth in Paragraphs 9 and 10. Concessionaire shall provide Department with any additional written clarification and/or information necessary to confirm the accuracy of any or all of Concessionaire’s Monthly Reports.

  • Engineering Report Lender shall have received a current Engineering Report with respect to the Property, which report shall be in form and substance reasonably satisfactory to Lender.
