None of the Development Reports nor the System Plans shall amend or modify this Agreement in any way.
Development Reports shall also set forth a general assessment regarding the achievement of any milestones; the projected – or actual – completion date of the development of a Product and the marketing thereof; as well as a description of any corporate transaction involving the Products or the Licensed Technology.
Such Development Reports shall be furnished annually until the First Commercial Sale.
Licensee’s Confidential Information includes but is not limited to the Development Plan, Development Reports and all other financial and business reports, strategies, and agreements (including Sublicenses) of Licensee.

All Development Reports created by Licensee shall be deemed the Proprietary Information of Licensee and are subject to the confidentiality obligations of Article IX.
Xencor shall treat such MorphoSys Annual Development Reports and such other annual report(s) to the FDA from MorphoSys, its Affiliate or — if applicable — its Sublicensee as MorphoSys’ Confidential Information and shall not distribute such report(s) to any Third Party without prior written consent by MorphoSys.
Licensee and its sublicensee(s) shall take all steps necessary so that MARSHFIELD CLINIC may within thirty (30) days of its request review and copy all the books and records at a single U.S. location to allow MARSHFIELD CLINIC to verify the accuracy of Licensee’s royalty reports and Development Reports and the royalty reports of its sublicensee(s).
In addition, Licensee shall keep books and records sufficient to verify the accuracy and completeness of Licensee’s Development Reports.
Licensee shall take all steps necessary so that ▇▇▇▇ may within thirty (30) days of its request review all the books and records at a single U.S. location to allow ▇▇▇▇ to verify the accuracy of Licensee’s royalty reports and Development Reports.
