• Unless otherwise provided in the Contract Documents, the Phase 1 Services compensation is deemed to include all sales, use, consumer and other taxes mandated by applicable Legal Requirements.

• The Work under Phase 1 shall be completed upon the earlier of execution by the parties of the Phase 2 – Construction Phase Services Contract, mutual agreement by the parties that the Phase 1 Services have been completed and a GMP cannot be agreed upon, or when this Contract is terminated as provided in Section 14 of the Terms and Conditions for the Phase 1 – Pre-Construction Phase Services Contract (Attachment A).

• The Phase 1 Services shall commence within five (5) days of Design- Builder’s receipt of Owner’s Notice to Proceed unless the parties mutually agree otherwise in writing.

• The Concessionaire will not commence delivery of the Services and the Snow and Ice Control Services in respect of the ▇▇▇▇▇ ▇ ▇▇▇▇▇▇▇ ▇▇▇▇▇ or the Phase 1 GP Lanes (and may not receive Toll Revenues in relation to the Phase 1 Managed Lanes) until the Conditions Precedent to the Phase 1 Services Commencement Date have been satisfied (or HPTE shall have waived such conditions).

• Upon issuance by VPRA of the Phase 1 NTP, Contractor shall furnish and provide all services, labor, materials, and equipment and perform all responsibilities of Contractor for the Phase 1 Services identified in Exhibit C.

• The Small Business Subcontracting Plan submitted by Contractor for the Phase 1 Services, and approved by VPRA on [##] is hereby incorporated in and made a material part of this Contract.

• For purposes of clarity, the Contractor is not entitled to an increase in the Phase 1 Services Fee if the additional services would not result in Contractor exceeding the Phase 1 Services Fee.

• For the Phase 1 Services, Owner shall pay Design-Builder compensation in accordance with ▇▇▇▇▇▇▇ ▇, ▇▇▇▇▇ ▇, ▇▇ ▇▇▇▇▇▇▇▇▇▇ ▇, Compensation.

• If VPRA terminates the Contract pursuant to this Section 20.0, Contractor shall only be entitled to payment for the Phase 1 Services performed up to the date of termination.

• VPRA may, in its sole discretion, terminate the Phase 1 Services at any time, and for any reason, prior to issuance of the Phase 2 NTP.

More Definitions of Phase 1 Services

Phase 1 Services means those Services so identified in section 8 of the Specification;

Phase 1 Services means the Standard Services to be carried out on the Phase 1 Trains by the Maintainer and shall include the Additional Services to the extent that the Owner notifies the Maintainer at any time pursuant to Part 2 of Exhibit 1 (Train Maintenance Specification) that it wishes the Maintainer to carry out any such Additional Services;

Phase 1 Services means the Base Phase 1 Services and any Additional Phase 1

Phase 1 Services means the services described in Part I of Appendix [Q];

Phase 1 Services described in Exhibit A, upon the City posting a written Notice (herein called a "Notice to Proceed") to the Subrecipient. Upon satisfactory completion of Phase 1 Services, the City shall issue a Notice to Proceed with “Phase 2 Services” as described in Exhibit A, specifying the date to start rendering such Services. The City will not issue the Notice to Proceed until the Subrecipient has complied with the following conditions precedent to the sole satisfaction of the City: submission to the City of acceptable documentation showing the Owner of Record of the property to be rehabilitated; and execution of Exhibit F “Lien” for the Project; and proof that current City taxes are not delinquent for the property to be rehabilitated; and if the property Owner is a religious organization, documentation of the property Owner's and Subrecipient's full compliance with the requirements of 24 CFR 570.200(j)(1-5); and evidence of eligible public service activity at the location. All Services shall be undertaken in such sequence, as more fully described and/or scheduled in Exhibit A, to assure their proper and expeditious completion in the light of the objectives of this Agreement prior to the expiration date. The Subrecipient shall have no authority to start work, no payments shall be authorized by the Finance Department of the City of Detroit, and the City shall not be liable for reimbursement of the Subrecipient for any materials or services purchased, or payment for any costs incurred, or for any services rendered, which are purchased, incurred, or rendered prior to the term of this Agreement. In addition, the City shall not be liable for any cost of Phase 2 Services, whether rendered, purchased or incurred by the Subrecipient, prior to the Notice to Proceed effective date.

Phase 1 Services means the services to be provided under Section 2.2.1 of this Agreement. “Phase 2” shall mean the portion of the schedule and work allocated to Phase 2 Services.
