Non-Prosecution. Except as requested by any of the Released Parties, as permitted above or by applicable law that may supersede the terms of this Agreement, or as compelled by valid legal process, the Individual shall not (i) assist, cooperate with, or supply information of any kind to any individual or private-party litigant or their agents or attorneys concerning (A) the employment, terms and conditions, or ending of the Individual’s or any other employee’s employment with the Company or any of the other Released Parties or the employment practices of any of the Released Parties; or (B) the business or operations of any of the Released Parties; or (ii) initiate or assist any other person in connection with any investigation, inquiry, or any other action of any kind with respect to any of the Released Parties’ employment practices, businesses, or operations.
Non-Prosecution. 14. The USAO agrees that if the Company fully complies with all of its obligations under this Agreement, the USAO will not criminally prosecute the Company, or any of its subsidiaries or affiliates, during the Term of this Agreement or thereafter for any crime related to the conduct described in the Statement of Facts. The USAO and the Company intend for this Agreement to resolve the USAO’s criminal investigation of the Company relating to the conduct described in the Statement of Facts.
Non-Prosecution a. The USAO and the Company intend for this Agreement to resolve the USAO’s criminal investigation of Uber or any of its parents, subsidiaries, or direct and indirect affiliates (collectively, the “Uber Entities”) relating to the conduct described in the Statement of Facts, and the USAO agrees that if the Company fully complies with all of its obligations under this Agreement, the USAO will not criminally prosecute the Uber Entities, during the term of this Agreement or thereafter, for any crime related to the conduct described in the Statement of Facts. Moreover, the USAO agrees that if the Company fully complies with all of its obligations under this Agreement, the USAO will not criminally prosecute the Uber Entities for any conduct regarding the Uber Entities that is not described in the Statement of Facts and that attorneys representing the Company have discussed with or otherwise disclosed to the USAO as of the date of this Agreement.
Non-Prosecution. 23. In consideration of SunTrust entering into this Agreement, the remedial actions taken to date, and its willingness to: (a) accept and acknowledge responsibility for its conduct as detailed in the Statement of Facts; (b) continue its cooperation with the United States; (c) demonstrate its future good conduct and full compliance with the Victim Compensation and Restitution Plan (Appendix B); (d) implement the Corporate Remedial Measures Plan (Appendix C); (e) settle any and all claims held by the United States, its agencies, and its representatives against the proceeds referred to in paragraphs 15-19 above, the United States agrees not to prosecute SunTrust for crimes related to the conduct described in the Statement of Facts, including, but not limited to, any alleged violations of Xxxxx 00, Xxxxxx Xxxxxx Code, Sections 1001, 1341, and 1343.
Non-Prosecution. The Township agrees that so long as the parties hereto are in compliance with this Agreement, the Township will not pursue any ordinance or code enforcement action (including, but not limited to, involving the pending fill operation amendments to the Zoning Ordinance) involving fill against Timpson involving the Timpson Parcel.
Non-Prosecution. OPDA agrees that it will not file any criminal charges against Xx. Xxxxxxxxx, Xx. XxXxxxx, or Xx. Xxxxx arising from any conduct related to this Lawsuit, including for any activity related to the underlying criminal case for which Xx. Xxxxxxxxx, Xx. XxXxxxx, or Xx. Xxxxx may have been a witness or victim. This Agreement does not provide any protection against prosecution for any future conduct by Xx. Xxxxxxxxx, Xx. XxXxxxx, or Xx. Xxxxx.

Non-Prosecution. Except as requested by the Company, or as permitted or compelled by law or judicial process, Employee shall not assist, cooperate with, or supply information of any kind to any individual, private-party litigant, governmental agency or their agents or attorneys (a) in any proceeding, investigation, or inquiry raising issues involving the Company or its Affiliates, or (b) in any other litigation against the Company or its Affiliates.
Non-Prosecution. Executive agrees that, subject to the Protected Rights above, Executive will not knowingly encourage, counsel, or assist any attorneys or their clients in the presentation or prosecution of any disputes, differences, grievances, claims, charges, or complaints by any third party against any of the Released Parties, unless under a subpoena or other court order to do so. Executive agrees both to immediately notify the Company upon receipt of any subpoena or court order concerning this Agreement or the Company, and to furnish, within three (3) business days of its receipt, a copy of such subpoena or other court order. If approached by anyone for counsel or assistance in the presentation or prosecution of any disputes, differences, grievances, claims, charges, or complaints against any of the Released Parties, Executive shall state no more than that Executive cannot provide counsel or assistance.
Non-Prosecution. Except as requested by the Company, the Executive shall not assist, cooperate with, or supply information of any kind to any individual or private-party litigant or their agents or attorneys (i) in any proceeding, investigation or inquiry raising issues involving the Company or its Affiliates, or (ii) in any other litigation against the Company or its Affiliates. The Executive may truthfully respond to inquiries by government agencies or to inquiries by any person through a subpoena or other valid judicial process without violating this Section 7, provided that the Executive delivers written notice of such inquiries to the Company promptly upon receipt, unless such notice to the Company is prohibited by applicable law, court order, subpoena, process or governmental decree.
