Member Register. The Company shall maintain a register in which, subject to such reasonable regulations as it may prescribe, the registration of Member interests (including the name of each Member and the percentage of aggregate Member interests held by such Member), and the transfers thereof (including pledges in respect of which the Company has received written notice executed by the Member granting such pledge) shall be recorded.

Member Register. You are responsible to maintain a register of members covered in prescribed format. We reserve the right to inspect the register of members at any time.
Member Register. The Board shall cause to be maintained in the principal office of the Company a register (the “Member Register”) containing the name, address, email address, Series, class of Interest, Commitment (if any) and Capital Contributions of each Member, as well as such other information as the Board may deem necessary or desirable to be contained therein. The Member Register is not, and will not be deemed to be, a part of this Agreement. The Board is hereby authorized, without the consent of any Member, to amend the Member Register to reflect any actions taken in accordance with this Agreement and as necessary to accurately reflect the information contained therein. Each Member is hereby deemed a “member” within the meaning of the Delaware Act.
Member Register. The Board of Directors shall maintain or cause to be maintained, at the principal office of the Company, a register listing all of the Members, their respective notice addresses and the Membership Interests held by them (the “Member Register”). The Board of Directors shall update the Member Register from time to time to reflect any change in the membership of the Company, including any change to the Membership Interests held by any Member resulting from any assignment or issuance of Membership Interests effected in accordance with this Agreement, as well as any change to the notice information of any Member. The Member Register as of the Effective Date is attached hereto as Schedule I. From and after the Effective Date, the Member Register may, but need not, be attached to this Agreement. The Member Register shall be the official list of Members, their respective notice addresses and the Membership Interests held by them for all purposes of this Agreement.
Member Register. The Company shall maintain at its principal office a register listing the names, addresses and business telephones of all Members, the number of Units (and Class of each), and any other equity or security interest owned by each Member, Assignee or other Person, and a description of all Transfers made thereof, and any other relevant information pertaining to the equity ownership of the Company. Such register shall be in alphabetical order, readily readable, and updated at least quarterly to reflect changes with respect to the information reported therein. Upon request of a Member, the Manager shall cause to be mailed to such Member a copy of the register within ten (10) days of such request.

  • WARRANTHOLDER REGISTRY The Company shall maintain a registry showing the name and address of the registered holder of this Agreement. Warrantholder’s initial address, for purposes of such registry, is set forth below Warrantholder’s signature on this Agreement. Warrantholder may change such address by giving written notice of such changed address to the Company.

  • Beneficial Owner; Registered Holder Prior to due presentment for registration of transfer of any Warrant, the Company and the Warrant Agent may deem and treat the person in whose name such Warrant shall be registered upon the Warrant Register (“registered holder”), as the absolute owner of such Warrant and of each Warrant represented thereby (notwithstanding any notation of ownership or other writing on the Warrant Certificate made by anyone other than the Company or the Warrant Agent), for the purpose of any exercise thereof, and for all other purposes, and neither the Company nor the Warrant Agent shall be affected by any notice to the contrary. As used herein, the term “Holder” refers only to a registered holder of the Warrants.

  • Share Register The Paying Agent shall maintain the share register, which shall contain a list of the Holders, the number of shares held by each Holder and the address of each Holder. The Paying Agent shall record in the share register any change of address of a Holder upon notice by such Holder. In case of any written request or demand for the inspection of the share register or any other books of the Fund in the possession of the Paying Agent, the Paying Agent will notify the Fund and secure instructions as to permitting or refusing such inspection. The Paying Agent reserves the right, however, to exhibit the share register or other records to any person in case it is advised by its counsel that its failure to do so would be unlawful.

  • Loan Register (i) The Servicer shall maintain with respect to each Noteless Loan a register (each, a “Loan Register”) in which it will record (v) the amount of such Loan, (w) the amount of any principal or interest due and payable or to become due and payable from the Obligor thereunder, (x) the amount of any sum in respect of such Loan received from the Obligor and each Purchaser’s share thereof, (y) the date of origination of such Loan and (z) the maturity date of such Loan. The entries made in each Loan Register maintained pursuant to this Section 5.04(n) shall be prima facie evidence of the existence and amounts of the obligations therein recorded; provided that the failure of the Servicer to maintain any such Loan Register or any error therein shall not in any manner affect the obligations of the Obligor to repay the related Loans in accordance with their terms or any Purchaser’s interest therein.

  • Register The Company shall maintain, at its principal executive offices (or such other office or agency of the Company as it may designate by notice to the holder hereof), a register for this Warrant, in which the Company shall record the name and address of the person in whose name this Warrant has been issued, as well as the name and address of each transferee and each prior owner of this Warrant.

  • Note Register The Issuer appoints the Indenture Trustee to be the “Note Registrar” and to keep a register (the “Note Register”) for the purpose of registering Notes and transfers and exchanges of Notes.   • Maintenance of Register The Administrative Agent shall maintain at one of its offices in Charlotte, North Carolina a copy of each Lender assignment agreement delivered to it in accordance with the terms of subsection (b) above and a register for the recordation of the identity of the principal amount, type and Interest Period of each Loan outstanding hereunder, the names, addresses and the Commitments of the Lenders pursuant to the terms hereof from time to time (the "Register"). The Administrative Agent will make reasonable efforts to maintain the accuracy of the Register and to promptly update the Register from time to time, as necessary.   • Right Register The Right Agent shall maintain books (“Right Register”) for the registration of original issuance and the registration of transfer of the Rights. Upon the initial issuance of the Rights, the Right Agent shall issue and register the Rights in the names of the respective holders thereof in such denominations and otherwise in accordance with instructions delivered to the Right Agent by the Company.
