Medical and Other Inquiries. Except to the extent otherwise provided in the Transition Services Agreement, from and after the Closing Date, Purchaser or its designee (a) shall be responsible for, and shall handle and respond to, all customer complaints and inquiries (including medical and non-medical inquiries) related to any Seller Product used, marketed, distributed or sold; and (b) shall be responsible for, and shall conduct, all correspondence and communication with physicians and other health care professionals relating to Seller Products. Purchaser shall keep such records and make such reports as shall be reasonably necessary to document such communications in compliance with applicable Law.

Medical and Other Inquiries. Amgen shall have responsibility for all correspondence and communication with physicians and other health care professionals and customers in the Territory regarding Collaboration Product complaints and all adverse drug experience information and all other correspondence and communication with physicians and other health care professionals and customers in the Territory relating to Collaboration Products. Amgen shall keep such records and make such reports as shall be reasonably necessary to document such communications in compliance with all applicable regulatory requirements.

The Territorial Commercial Lead shall be responsible for responding to all medical questions or inquiries relating to the Antibody Products sold in countries in its respective Lead Territory, except that the Co-Detailer, in the course of carrying out its activities under Article 5.11(c), may respond to any such question or inquiry which can be answered by reference to the Product Labelling and package insert in the applicable country. The Territorial Commercial Lead shall designate a medical liaison to whom the Co-Detailer shall instruct its medical affairs group, as well as its sales forces engaged in the Detailing of Antibody Products, to direct medical questions or inquiries relating to the Antibody Products. The Territorial Commercial Lead shall keep such records and make such reports as are reasonably necessary to document such communications in compliance with all applicable regulatory requirements.

InterMune shall keep such records and make such reports as shall be reasonably necessary to document such communications in compliance with all applicable regulatory requirements. After the Effective Date, Amgen shall refer all questions relating to the Licensed Product raised by health care professionals and customers to InterMune for its response.

Except to the extent otherwise provided in the Transition Services Agreement or the Safety Data Exchange Agreement, from and after the Closing Date, Buyer or its designee (a) shall be responsible for, and shall handle and respond to, all customer complaints and inquiries (including medical and non-medical inquiries) related to the Product in the Buyer Territory (provided, that Buyer shall use commercially reasonable efforts to consult and coordinate with Seller prior to communicating with any Regulatory Authority in connection with any customer complaints and reported defects with respect to the Product in the Buyer Territory where such consultation and coordination does not interfere with the proper conduct of the Product Business), and (b) shall be responsible for, and shall conduct, all correspondence and communication with physicians and other health care professionals in the Buyer Territory relating to the Product. Buyer shall keep such records and make such reports as shall be reasonably necessary to document such communications in compliance with applicable Law.
