Improvements to Expansion Premises. Client shall accept the Suite 950 Expansion Premises, Xxxxx 000 Xxxxxxxxx Xxxxxxxx, Xxxxx 000 Expansion Premises and the Suite 410 Expansion Premises in their “as is” condition as of their applicable Commencement Dates, except that Landlord agrees to provide the improvements set forth in and subject to the provisions of Exhibit D hereto (“Landlord’s Work”).

Improvements to Expansion Premises a. Client agrees to accept the Expansion Premises in its “as is” condition as of the Expansion Premises Commencement Date; provided, however, that Landlord, at its sole expense, shall construct those improvements noted on the “as-built” plan dated February 12, 2009, attached hereto as Exhibit A (“Client Plan”).

Improvements to Expansion Premises. Landlord shall deliver the Suite 950 Expansion Premises, Xxxxx 000 Xxxxxxxxx Xxxxxxxx, Xxxxx 000 Expansion Premises and Suite 410 Expansion Premises, and also each portion of the Second Floor Expansion Premises and each Additional Space that is leased by Client (collectively, the “Expansion Premises”), to Client, with comparable improvements to those shown on the space plan for the fourth floor attached hereto as Schedule D-1, using reasonable quantities of Building Standard materials (a list of which is attached hereto as Schedule D-2). Client may elect to use “above standard” materials, at Client’s cost (after crediting Client for the cost of Building Standard materials). Landlord acknowledges and agrees that all materials that are incorporated in the portion of Client’s existing Premises located on the fourth (4th) floor of the Building (“Client’s fourth (4th) floor space”) as of the date of this Amendment are Building Standard materials even if not listed on Schedule D-2 hereto. The improvements for each of the Expansion Premises shall be consistent with the improvements in Client’s fourth (4th) floor space and will include the following:

Improvements to Expansion Premises. Prior to the Expansion Premises Commencement Date, Landlord shall complete the Landlord’s Expansion Premises Work in the Expansion Premises using building standard and other materials as shown on and in accordance with the Work Letter and Plans attached hereto as Exhibits C, C-1 and C-2, which Tenant hereby approves. Subject to Landlord's obligation to perform the Landlord’s Expansion Premises Work, the Expansion Premises is accepted by Tenant in "as is" condition and configuration without any representations or warranties by Landlord, except as otherwise provided herein. By taking possession of the Expansion Premises, subject to the other terms and conditions of this Amendment, Tenant agrees that the Expansion Premises are in good order and satisfactory condition and that Landlord has fully and satisfactorily performed and completed all work required to be performed by Landlord prior to Tenant’s occupancy, except for any Punchlist Items as provided in Exhibit C attached hereto. ​

By taking possession of the Expansion Premises, Tenant presumptively agrees that the Expansion Premises are in good order and satisfactory condition and that Landlord has fully and satisfactorily performed and completed all work required to be performed by Landlord prior to Tenant’s occupancy, subject to any latent defects or punch list Items. Following completion of Landlord’s Work, Landlord and Tenant shall mutually prepare a list of “punch-list items” to be completed by Landlord within a reasonable time.
Improvements to Expansion Premises. Client agrees to accept Suite 475 in its then “as is" condition as of the Suite 475 Extension Term Commencement Date.
