Entirety; Amendment. This Agreement represents the entire agreement of the Parties and expressly supersedes all previous written and oral communications between the Parties. No amendment, alteration, or modification of this Agreement or any exhibits attached hereto shall be valid unless executed in writing by authorized signatories of both Parties.
Entirety; Amendment. Subject to Section 8.3, this Agreement together with the Exhibits attached hereto, constitutes the entire agreement and understanding between the Parties hereto and supersedes and renders null and void and of no further force and effect any prior proposals, understandings, negotiations or agreements between the Parties relating to the subject matter hereof, and all amendments and letter agreements in any way relating thereto. No provision of this Agreement may be changed, modified, waived or discharged orally, and no change, modification, waiver or amendment of any provision will be effective except by written instrument executed by the Parties.
Entirety; Amendment. This Agreement contains the entire understanding between the Parties relating to the obligations of the Parties described herein. No provision of this Agreement may be amended or added to except by an agreement in writing signed by the Parties or their respective successors in interest. This Agreement shall not be effective or binding until fully executed by both Parties.
Entirety; Amendment. This Agreement may not be modified or altered orally or in any manner other than by an express agreement in writing signed by all Parties at such time. No statements or agreements, oral or written, made prior to or at the signing hereof, shall vary or modify the written terms hereof, and neither Party shall claim any amendment, modification, or release from any provision hereof by reason of a course of action or mutual agreement unless the agreement is in writing signed by the other Party. No amendment shall be binding upon a Party unless signed by the duly authorized representative of the Parties. No modification or addition to this Agreement or any Schedule or Exhibit shall be effected by the acknowledgment or acceptance by a Party of any invoice, purchase order, acknowledgment, release or other form submitted by the other Party containing other or different terms or conditions. 22.
Entirety; Amendment. This Amendment, together with the Lease, constitutes the entire agreement among the undersigned parties hereto. Any modification to this Amendment must be in writing and signed and delivered by authorized representatives of the affected parties in order to be effective.
Entirety; Amendment. This Agreement, including all of its exhibits and applicable Purchase Orders, each of which is incorporated into this Agreement, is the entire agreement between the parties with respect to its subject matter, and supercedes and replaces any prior agreement between the parties with respect to said subject matter and there are no other representations, understandings or agreements between the parties relative to such subject matter. No amendment to, or change, waive or discharge of any provision of this Agreement shall be valid unless in writing and signed by any authorized representative of the party against which such amendment, change, waiver or discharge is sought to be enforced. In the event of any conflict between the terms set forth in a Quote, Purchase Order or an exhibit attached hereto and these Terms and Conditions, the Terms and Conditions will control.
Entirety; Amendment. This First Amendment, together with the MLA and the ATI/Horizon MLA, constitutes the entire agreement among the undersigned parties hereto. Any modification to this First Amendment must be in writing and signed and delivered by authorized representatives of the affected parties in order to be effective.
Entirety; Amendment. This Contract constitutes the entire agreement between the Parties and shall replace all written and oral statements, representations and warranties that may have been made by or on behalf of either of the Parties prior to the date hereof. This Contract may only be amended by a clear statement in writing signed by a duly authorized representative of each of the Parties hereto.
Entirety; Amendment. This Agreement, including the Schedules hereto, represents the entire agreement between the parties and may only be amended by an instrument in writing executed by the parties or their permitted assignees.
Entirety; Amendment. This Agreement contains the entire agreement between Executive and Company regarding the matters set forth herein. Any modification of this Agreement must be made in writing and signed by Executive and each of the entities constituting the Company.
