No Statements. You hereby agree that you will not, both during and after your employment with Delta, make any oral or written statement to the news media, in any public forum or to any business competitive with Delta, its subsidiaries or affiliates concerning any actions or inactions by Delta or any of its present or former subsidiaries or affiliates or any of their present or former officers, directors or employees (the “Delta Parties”) relative to the Delta Parties’ compliance with any state, federal or local law or rule. You also agree that you will not make any oral or written statement or take any other action which disparages or criticizes the Delta Parties, including, but not limited to, any such statement that damages the Delta Parties’ good reputation or impairs their normal operations or activities.
No Statements. Subcontractor shall at all times obtain prior approval from VEIC and the CA before it, any of its officers, agents, employees or subcontractors, makes any statement that may reflect on DOEE or the District government, or states or implies it is speaking on behalf of DOEE or the District. Subcontractor shall at all times inform VEIC and the CA 48 hours in advance before it, any of its officers, agents, employees or subcontractors, either during or after expiration or termination of this Subcontract, make any statement, or issue any material, for publication through any medium of communication, bearing on the work performed or data collected under this Subcontract.
No Statements. The Companies shall not use the name of the Placement Agent or any officer, director, employee or shareholder thereof without the express written consent of the Placement Agent and such person.
No Statements. I agree that I will not make any oral or written statement to the media, in any public forum, or to any business competitive with Delta, concerning any actions or inactions by Delta, or any of its present or former subsidiaries or affiliates or any of its present or former officers, directors or employees, relative to Delta's compliance with any state, federal or local law or rule. I further agree that I will not make any oral or written statement or take any other action which disparages or criticizes Delta, or any of its present or former subsidiaries or affiliates or any of its present or former officers, directors or employees, including, but not limited to any such statement which damages Delta's good reputation or impairs its normal operations. I further agree that I will not initiate or solicit claims against the Delta, or otherwise directly or indirectly encourage or support any claim that has been or in the future is asserted by a third party against Delta.
No Statements except (i) with respect to the letter approved as part of the Settlement Agreement, and (ii) for Stockholder(s) referring people to Search or the press release mentioned in the Settlement Agreement, make any statement or proposal, whether written or oral, alone or in concert with any other Person, to the Board of Directors of Search or any Search Affiliate, to any director or officer of Search or any Search Affiliate, to any shareholder, noteholder, securities holder or creditor of Search or any Search Affiliate, or otherwise make any public announcement or proposal whatsoever with respect to Search or any Search Affiliate, including but not limited to a merger or other business combination, sale or transfer of assets, liquidation or other corporate transaction by Search or any Search Affiliate.
No Statements. Except as otherwise required by applicable law or the rules of a regulatory body, the Company shall not use the name of Paramount or any officer, director, employee or shareholder thereof without the express consent of such party and such person.
No Statements. Subject to the provisions of Subsection 3.d., I agree that I will not make any oral or written statement to the news media, in any public forum, or to any business competitive with Delta, its subsidiaries, or affiliates, concerning any actions or inactions by Delta, NW Corporation, or Northwest, or any of their present or former subsidiaries or affiliates or any of their present or former officers, directors or employees (the “Delta Parties”), relative to the Delta Parties' compliance with any state, federal or local law or rule. Subject to the provisions of Section 3.d., I also agree that I will not make any oral or written statement or take any other action which disparages or criticizes the Delta Parties, including, but not limited to any such statement which damages the Delta Parties' good reputation or impairs their normal operations or activities. Subject to the provisions of Section 3.d., I further agree that I will not initiate or solicit claims against the Delta Parties or otherwise directly or indirectly encourage or support any claim that has been or in the future is asserted by a third party against the Delta Parties arising out of, related to, or in connection with any matter arising on or before the date of the Agreement.
No Statements. Except as otherwise required by applicable law or the rules of a regulatory body (which shall be determined by the Company in its sole discretion upon advice of its legal counsel), the Company shall not use the name of the Placement Agent or any officer, director, employee or shareholder thereof without the express consent of such party and such person.
No Statements. Neither the parties, nor their employees, agents, members, or representatives, shall publish or communicate any statements to any third party, in any form, disparaging the other, or disparaging the other’s employees, agents, servants, management, products, services, operations, procedures, practices, specifications, methods, or the like. In the event any person not described herein as a person to whom disclosure may be made inquiries into the facts, circumstances, or amount of the settlement contemplated by this Agreement, the party or person to whom inquiry has been made shall state only: “The matter was resolved privately to the mutual satisfaction of the parties.”
No Statements. The Company shall not use the name of Joseph Stevens or any officer, dxxxxxxx, xxxxoyee or shareholder thereof in any press release regarding the Offering without the express written consent of such party and such person.
