Design of Facility. Seller will design, construct, install, own, operate and maintain the Facility and any Seller-owned Interconnection Facilities so as to allow safe and reliable generation and delivery of Net Energy and Inadvertent Energy to the Transmitting Entity for the full term of the Agreement.

Design of Facility. The Consultant's work during the design phase is expected to include:
Design of Facility. City shall design the Facility. City shall reasonably collaborate with Live Nation during the design process. Within ninety (90) days following the Effective Date, City shall provide City’s proposed final design to Live Nation for review and approval. If Live Nation fails to respond to said proposed final design within thirty (30) days after receipt thereof, City’s proposed final design shall be deemed approved. If Live Nation objects, in writing, to City’s proposed final design within said thirty (30) day period, City and Live Nation shall meet and confer for a period of not more than ninety (90) days (the “Design Meet and Confer Period”) to attempt to reach final agreement on a final design for the Facility. If by the expiration of the Design Meet and Confer Period City and Live Nation have not reached final agreement on a final design for the Facility, either Party shall have the right to terminate this Agreement by providing thirty (30) days’ written notice thereof to the other Party within thirty (30) days following the expiration of the Design Meet and Confer Period; provided, however, that (a) if the Parties agree on a final design during such 30-day written notice period, such termination election shall be null and void and this Agreement shall remain in full effect, and

In situations where a competitive LEC has the use of the facilities (i.e., Local Loop) to a specific customer premise, either through resale of local service or the lease of the Local Loop as an Unbundled Network Element, and Embarq receives a good faith request for service from a customer at the same premise or from another carrier with the appropriate customer authorization, the procedures below will apply.

  • Maintenance of Facilities 5.1 The Network Customer shall maintain its facilities necessary to reliably receive capacity and energy from the Host Transmission Owner’s transmission system consistent with Good Utility Practice.
