Definition of Current Market Price. For purposes of this Section 8, the term "Current Market Price" shall mean, on any date specified herein, (i) if the Common Stock is listed on any national securities exchange or the Nasdaq National Market, the average of the last reported sales price (or the average of the quoted closing bid and asked prices if there shall have been no sales) of the Common Stock on such exchange or the Nasdaq National Market (as the case may be) for a period of 20 trading days prior to such date, or (ii) if the Common Stock is not so listed, on the basis of the average of the mean of the last quoted bid and asked prices for the Common Stock for each day in the 20 trading day period prior to such date, as reported by Nasdaq, or its successor, or (iii) if the Common Stock is not so listed and if there are no such closing bid and asked prices, on the basis of the fair market value per share as reasonably determined in good faith by the Board of Directors of the Company, but not less than the book value thereof as of the most recent fiscal year of the Company.

Definition of Current Market Price. (i) For the purpose of any computation hereunder other than computations made pursuant to Section 11(a)(iii) hereof, the "CURRENT MARKET PRICE" per share of Common Stock on any date shall be deemed to be the average of the daily closing prices per share of such Common Stock for the thirty (30) consecutive Trading Days immediately prior to such date, and for purposes of computations made pursuant to Section 11(a)(iii) hereof, the Current Market Price per share of Common Stock on any date shall be deemed to be the average of the daily closing prices per share of such Common Stock for the ten (10) consecutive Trading Days immediately following such date; PROVIDED, HOWEVER, that in the event that the Current Market Price per share of Common Stock is determined during a period following the announcement by the issuer of such Common Stock of (A) a dividend or distribution on such Common Stock payable in shares of such Common Stock or securities convertible into shares of such Common Stock (other than the Rights), or (B) any subdivision, combination or reclassification of such Common Stock, and the ex-dividend or ex- distribution date for such dividend or distribution, or the record date for such subdivision, combination or reclassification shall not have occurred prior to the commencement of the requisite thirty (30) Trading Day or ten (10) Trading Day period, as set forth above, then, and in each such case, the Current Market Price shall be properly adjusted to reflect the current market per share equivalent.
