For purposes of this document, Last Sale Price refers to the last regular way trade reported on such security’s Index Market.
For securities where Nasdaq is the Index Market, the Last Sale Price may be the Nasdaq Official Closing Price (NOCP) when Nasdaq is closed.
Ordinarily, a security will be removed from the Index at its Last Sale Price.
If any fraction of a share of Common Stock would, except for the provisions of this Section 1703, be issuable on the conversion of any Security or Securities, the Company shall make payment in lieu thereof in cash equal to the value of such fraction computed on the basis of the Last Sale Price of one share of Common Stock on the most recent Trading Day prior to the Date of Conversion.
