(the “Company”) – Issuance of 4,100,000 Payment Shares We have acted as counsel to the Company in connection with the subscription for and the issuance of 4,100,000 Redeemable, Convertible Preferred shares, Series D, in the capital of the Company (the “Payment Shares”) by Virogen Limited (“Virogen”) pursuant to a stock purchase agreement entered into between the Company and Virogen as of the date hereof (the “Stock Purchase Agreement”). As counsel to the Company, we have acted in connection with the negotiation, execution and delivery by it of the Stock Purchase Agreement.
