Market Price Sample Clauses

Market Price. The term "Market Price" on any date shall mean, with respect to any class or series of outstanding Equity Shares, the Closing Price for such Equity Shares on such date. The "Closing Price" on any date shall mean the last sale price for such Equity Shares, regular way, or, in case no such sale takes place on such day, the average of the closing bid and asked prices, regular way, for such Equity Shares, in either case as reported in the principal consolidated transaction reporting system with respect to securities listed or admitted to trading on the AMEX or, if such Equity Shares are not listed or admitted to trading on the AMEX, as reported on the principal consolidated transaction reporting system with respect to securities listed on the principal national securities exchange on which such Equity Shares are listed or admitted to trading or, if such Equity Shares are not listed or admitted to trading on any national securities exchange, the last quoted price, or, if not so quoted, the average of the high bid and low asked prices in the over-the-counter market, as reported by the National Association of Securities Dealers, Inc. Automated Quotation System or, if such system is no longer in use, the principal other automated quotation system that may then be in use or, if such Equity Shares are not quoted by any such organization, the average of the closing bid and asked prices as furnished by a professional market maker making a market in such Equity Shares selected by the Trustees or, in the event that no trading price is available for such Equity Shares, the fair market value of Equity Shares, as determined in good faith by the Trustees.
Market Price. For the purpose of this Agreement, the phrase "Market Price" at any date shall be deemed to be the (i) last reported sale price on the last trading day or, in case no such reported sale takes place on such day, the average last reported sale price for the last three (3) trading days, in either case as officially reported by the principal securities exchange on which the Common Stock is listed or admitted to trading, or, (ii) if the Common Stock is not listed or admitted to trading on any national securities exchange but is listed or quoted upon the Nasdaq National Market or SmallCap Market (together referred to hereinafter as "NASDAQ"), the closing bid price on the last trading day, or, in case no such reported bid takes place on such day, the average closing bid price for the last three (3) trading days, as furnished by NASDAQ or similar organization if NASDAQ is no longer reporting such information, or (iii) if the Common Stock is not listed upon a principal exchange or quoted on NASDAQ, but quotes for the Common Stock are available in the OTC Bulletin Board or "pink sheets" the closing bid price on the last trading day, or, in case no such bid takes place on such day, the average closing bid price for the last three (3) trading days as furnished on the OTC Bulletin Board or (iv) in the event the Common Stock is not traded upon a principal exchange and not listed on NASDAQ and quotes are not available on the OTC Bulletin Board, as determined in good faith by resolution of the Board of Directors of the Company, based on the best information available to it.
Market Price. Unless otherwise provided in this Agreement, the Market Price of crude oil sold or exchanged under this Agreement shall be the price for crude oil for the delivery month specified in this Agreement and at the delivery location that corresponds to the delivery location specified in this Agreement, as reported in Platt’s Oilgram Price Report (“Platt’s”) for the date on which the Liquidating Party terminates this Agreement. If Platt’s reports a range of prices for crude oil on that date, the Market Price shall be the arithmetic average of the high and low prices reported by Platt’s. If Platt’s does not report prices for the crude oil being sold under this Agreement, the Liquidating Party shall determine the Market Price of such crude oil in a commercially reasonable manner, unless otherwise provided in this Agreement.
Market Price. In this Agreement, the market price per share of Common Stock on any date shall equal the average of the Quoted Prices of the Common Stock for 30 consecutive trading days commencing 45 trading days before the date in question. The "
Market Price. The “Market Price” of a share of Common Stock means: the average of the daily volume weighted average price of shares of Common Stock on the principal market on which shares of the Common Stock are traded for the five (5) trading days immediately preceding the date of the determination of the Market Price. If shares of Common Stock are not traded on any public market (e.g. NYSE, AMEX, NASDAQ, OTCBB or Pink Sheets), the Market Price of the Common Stock shall be determined, in good faith, by the Board of Directors of the Company.
Market Price. “Market Price” shall mean the value on a specified date of the shares of Class A Common Stock underlying the Warrant which could be obtained in an initial public offering of such Class A Common Stock. Within five business days of the Put Notice Date, the holders of the Warrants shall suggest three investment banking firms, from which the Company shall select one (the selected firm being the “Arbitrator”). The Arbitrator shall be instructed to determine the Market Price consistent with the first sentence of this Section 5.3(b), within thirty days from the Put Notice Date. The expenses of any such Arbitrator shall be shared equally by the Company and the relevant holder.
Market Price. As used in this Warrant, the term “Market Price” shall mean, as of any date of determination, with respect to the Common Stock or any other securities, (A) if the Common Stock or such other securities (as the case may be) are listed or admitted to trading on any national securities exchange, the average of the last reported sale prices, regular way, per share of Common Stock or other securities (as the case may be) for each of the 20 consecutive trading days preceding such day on the principal national securities exchange on which the shares of Common Stock or other securities (as the case may be) are listed or admitted to trading (without taking into account any extended or after-hours trading session), or (B) if the Common Stock or such other securities (as the case may be) are not listed or admitted to trading on any national securities exchange but are listed on The Nasdaq Stock Market, Inc. (“Nasdaq”) or quoted in the Over-the-Counter Bulletin Board (the “OTC Bulletin Board”) of the National Association of Securities Dealers, Inc. (“NASD”), the average of the last reported sale prices (or, if last-sale price quotations are not available, the average of the last available bid and asked prices) per share of Common Stock or other securities (as the case may be) for each of the days in such 20 trading day period as reported on Nasdaq or the OTC Bulletin Board (without taking into account any extended or after-hours trading session), or (C) if the Common Stock or such other securities (as the case may be) are traded in the over-the-counter market but not quoted on the OTC Bulletin Board, the average of the last available bid and asked prices per share of the Common Stock or other securities (as the case may be) for each of the days in such 20 trading day period as quoted in the Pink Sheets Electronic Quotation Service or, if not so quoted, as furnished by any member of the NASD selected by the Company, or (D) if the Common Stock or such other securities (as the case may be) are not publicly traded, the Market Price for such day shall be the fair market value per share thereof as determined jointly by the Company and the holders of Warrants exercisable to purchase a majority of the shares of Common Stock which may be purchased upon exercise of all of the outstanding Warrants (the “Majority Holders”); provided, however, that if such parties are unable to reach agreement within a period of 15 days, the Market Price shall be determined in good faith by an inde...
Market Price. For purposes of this Section 4.3, "Market Price" means, as to any Maintenance Securities on a given day, the average of the closing prices of such security's sales on all domestic securities exchanges on which such security may at the time be listed, or, if there have been no sales on any such exchange on such day, the average of the highest bid and lowest asked prices on all such exchanges at the end of such day, or, if on any day such security is not so listed, the average of the representative bid and asked prices quoted in the NASDAQ National Market as of 4:00 P.M., New York time, on such day, or, if on any day such security is not quoted in the NASDAQ National Market, the average of the highest bid and lowest asked prices on such day in the domestic over-the- counter market as reported by the National Quotation Bureau, Incorporated, or any similar successor organization. If at any time the Maintenance Securities are not listed on any domestic securities exchange or quoted in the NASDAQ National Market or the domestic over-the-counter market ("Unlisted Securities"), the "Market Price" shall be the fair value thereof determined jointly by the Company and the Holder.
