Current Market Price Per Share definition

Current Market Price Per Share shall have the meaning set forth in Section 11(d).
Current Market Price Per Share means, with respect to any of the Common Stock, as of any particular date of determination:
Current Market Price Per Share. , at any date, means the price per share of Common Stock (denominated in Canadian dollars based, if necessary, on the daily average rate of exchange as reported by the Bank of Canada) equal to the VWAP for the five trading-days preceding such date (i) on the TSX, or (ii) if the Common Stock is not traded on the TSX, on any other recognized stock exchange, or (iii) if the Common Stock is not traded on a recognized stock exchange, on the over-the-counter market. If the Common Stock is not then traded in the over-the-counter market or on a recognized stock exchange, the Current Market Price of the Common Stock shall be the fair market value of the Common Stock as determined in good faith by the board of directors of the Company after consultation with an internationally recognized investment dealer or investment banker;

  • If the Common Stock or such other security is not publicly held, or so listed, quoted or publicly traded, the Current Market Price Per Share means the fair market value of a share of Common Stock, as determined in good faith by the Board of Directors) immediately prior to the date in question.

Current Market Price Per Share means, as to the Common Stock on any date in question, the average of the daily Closing Prices for the five consecutive Trading Days prior to and including the date in question; provided, however, that:
Current Market Price Per Share means the average of the daily Closing Prices per share of Common Stock on the ten Trading Days ending on the Trading Day next preceding the date the Triggering Notice is given and “Closing Prices” and “Trading Days” have the respective meanings specified in the Purchase Contract Agreement.

Current Market Price Per Share of one share of Axxxx Common Stock shall be the average closing price of the shares of the NASD Electronic Bulletin Board for the five trading days preceding the date of the Agreement.

Current Market Price Per Share means the price per Common Share at any date which shall be the average closing price per share at which the Common Shares are traded for 20 consecutive trading days ending 5 trading days preceding such date on the American Stock Exchange or, if the Common Shares are not listed on such exchange, on such stock exchange on which the Common Shares are listed as may be selected for such purpose by the Board of Directors or, if the Common Shares are not listed on any stock exchange, then on the over-the-counter market. The average closing price per share shall be determined by dividing the sum of the daily closing prices of the Common Shares sold on the said exchange or market, as the case may be, during the said 20 consecutive trading days by 20. If the Common Shares are not being traded on an exchange or market at the time of such calculation, then the Current Market Price Per Share shall be a price determined in good faith by the Board of Directors based on the written advice of an investment banking firm selected by the Corporation and acceptable to the Holder acting reasonably;
Current Market Price Per Share on any date shall mean the average of the Quoted Prices of the Common Stock for the fifteen (15) consecutive Business Days ending before the day in question. If no such Quoted Prices are available, however, “Current Market Price Per Share” shall be the Fixed Conversion Price. “Quoted Price” means, with respect to any security on any date, the average of the closing prices on such day of such security on all domestic securities exchanges and inter-dealer quotation systems providing last sale information on which such security is then listed or tracked, or, if there have been no sales on any such exchange or inter-dealer quotation system on such day, the average of the highest bid and lowest asked prices on all such exchanges or inter-dealer quotation system at the end of such day or, if on any such day such security is not so listed, the average of the representative bid and asked prices quoted on NASDAQ as of 4:00 p.m., New York time, on such day, or if on any day such security is not quoted on NASDAQ, the average of the highest bid and lowest asked prices on such day in the domestic over-the-counter market as reported by the National Quotation Bureau, Incorporated, or any similar successor organization.
