Last Reported Sales Price of Common Units on any date means the closing sale price per Common Unit (or if no closing sale price is reported, the average of the closing bid and ask prices or, if more than one in either case, the average of the average closing bid and the average closing ask prices) on such date as reported in composite transactions for the principal United States national or regional securities exchange on which Common Units are traded or, if Common Units are not listed for trading on a United States national or regional securities exchange on the relevant date, the Last Reported Sales Price will be the last quoted bid price for Common Units in the over-the-counter market on the relevant date as reported by OTC Markets Group Inc. or a similar organization. In the absence of such a quotation, the Last Reported Sales Price will be the average of the mid-point of the last bid and ask prices for Common Units on the relevant date from each of at least three nationally recognized independent investment banking firms selected by the Partnership for this purpose.
Last Reported Sales Price of the Common Stock on any date of determination means:
Last Reported Sales Price on any date shall mean the closing sale price per share of the Continuing Corporation Common Shares (or if no closing sale price is reported, the average of the closing bid and asked prices) on that date as reported in composite transactions for the principal U.S. securities exchange on which the Continuing Corporation Common Shares is traded or, if same is not listed on a U.S. national or regional securities exchange, as reported by the Nasdaq Global Market or Nasdaq Capital Market or OTC-BB, as applicable. If the Continuing Corporation Common Shares is not listed for trading on a U.S. national or regional securities exchange and not reported by the Nasdaq Global Market or Nasdaq Capital Market or OTC-BB on the relevant date, the Last Reported Sales Price will be the last quoted bid price for a Continuing Corporation Common Share in the over-the-counter market on the relevant date as reported by Pink Sheets LLC or similar organization.
