Code of Business Conduct and Ethics. The Director agrees to abide by and follow all such procedures set forth in the Company’s code of business conduct and ethics, as may be in existence now or at any time during the term of this Agreement, and any other policy, code or document governing the conduct of directors of the Company as may be in existence now or at any time during the term of this Agreement.

Seller shall comply with the Code. Any violation of the Code is grounds for termination of this Order by Buyer for default.

The Board will annually assess the Company’s code of business conduct and ethics and related policies, to ensure they address appropriate topics, contain compliance standards and procedures, and comport with relevant Nasdaq listing rules or other applicable regulations. The Board must approve any waiver of the code for management or Directors and any such waiver must be promptly disclosed to stockholders in accordance with any relevant Nasdaq listing rules and other applicable regulations.

Operator will not violate or knowingly permit anyone to violate the Code’s prohibition on bribery or any applicable anti- corruption Laws in performing under this Agreement. Amazon may immediately terminate or suspend performance under this Agreement if Operator breaches this Section 4.4. Operator will maintain true, accurate and complete books and records concerning any payments made to another party by Operator or its Personnel (as defined in Section 8.1) under this Agreement, including on behalf of Amazon. Amazon and its designated representative may inspect Operator’s books and records to verify such payments and for compliance with this Section 4.4.
Code of Business Conduct and Ethics. 1.2 If the Employee is provided a portable computer for use, the Employee shall take responsibility for the physical security of the equipment as well as the information stored therein. The Employee shall comply with the Company’s policies on the appropriate use of computers, email and the internet. The Employee acknowledges and agrees that the Company has the right to monitor the Employee’s usage of the Company’s computer and IT system / resources.
