Certain Covenants and Agreements of Seller and Buyer. 7.1 Access and Information. Subject to that certain letter agreement of confidentiality, dated October 23, 1997, between Buyer and Seller (the "Confidentiality Agreement"), Seller shall permit Buyer and its representatives after the date of this Agreement to have reasonable access during normal business hours, upon reasonable advance notice, to the books and records of the Company, and shall provide Buyer with reasonable access to the Company's employees, agents, consultant's and other related parties, provided that such access shall be conducted by Buyer and its representatives in such a manner as not to interfere unreasonably with the business or operations of the Company. Buyer shall notify Seller promptly upon its discovery of any information which constitutes a breach by Seller of any representation, warranty or agreement of Seller hereunder.
