Authorized Representative and Key Staff Requirements. The Vendor shall provide an authorized representative, such as the Engagement Manager, acceptable to the Department, who will be the primary point of contact with the Department for the scope, schedule, Vendor staff coordination, and completion of all Task Work Orders. The authorized representative shall meet with the Department staff on a regular basis, as requested by the Department Contract Manager, to discuss project progress and issues. The Vendor shall provide and maintain up-to-date staffing plans and organizational charts with agreed-upon classifications and approved rates. Key Staff (subject to the Key Staff definitions in Exhibit J – Glossary and Acronyms) will be identified in each Task Work Order. No Vendor Key Staff, except those specifically identified in a Task Work Order or those specifically agreed to by the Department Contract Manager, shall perform services for that particular Task Work Order. The process for assigning and monitoring non-Key Staff will be addressed in the Project Management Plan. The Vendor must request approval from the Department Contract Manager for any modifications or additions to the list of available Key Staff prior to the initiation of any work by that individual. If applicable, new job classifications may be added to the Agreement via an Amendment. Vendor shall submit a copy of the resume for approval prior to Key Staff being added. Vendor Key Staff shall be the individuals designated in the Vendor’s Response to fulfill the key roles referenced in Exhibit A - Scope of Services and Exhibit J – Glossary and Acronyms. Vendor staff cannot be changed or substituted except in instances of force majeure or in the event of circumstances that cannot be reasonably anticipated and/or are beyond the control of the Vendor. In such cases, changes or substitutions are subject to the discretion of the Department and cannot be made without written approval of the Department Contract Manager. Subvendor, teaming arrangements, or Key Staff changes/substitutions require pre-approval of the Department Contract Manager before implementing. All qualification/certification requirements of the original advertisement shall govern, where applicable. Removal of Key Staff identified in the Vendor’s Response may be considered an unauthorized removal, and subject to the liquidated damages, as referenced in Exhibit IService Level Expectations.
