Assignment of FCC Licenses. The provisions of this Section 7.05 apply only to spectrum identified on Schedule A that has not been subject to an IUA. Licensee may assign the FCC License to any entity that is eligible under FCC Rules to hold the FCC License, who is reasonably acceptable to Clearwire and who assumes Licensee's prospective obligations under this Agreement, whereupon Licensee shall be forever relieved of such prospective obligations. Clearwire and Licensees agree that it is reasonable for Clearwire to reject a proposed assignee where the proposed assignee or its affiliate competes with Clearwire's offering over EBS or BRS spectrum. In the event that Licensee desires to assign its FCC License to another entity, Licensee shall inform Clearwire in writing of the identity of such entity and within twenty (20) days of such notice Clearwire shall inform Licensee in writing of whether Clearwire consents to such assignment or refuses to consent to such assignment and, if it refuses, the reason(s) it is relying upon for such refusal. Notwithstanding the foregoing, Licensee may, without the prior consent of Clearwire, sell, assign, sublease, delegate or transfer this Agreement or any of its rights or obligations hereunder to any of Licensee's affiliates controlled by or under common control with Licensee.

HITN shall not sell, exchange, deliver ownership of, assign, encumber, or transfer, or permit the sale, exchange, delivery, assignment, encumbrance, or transfer of, any Pending Application or FCC License relating to any Market listed on Annex I except as permitted in the IUA applicable to such FCC License.

Promptly upon receipt of notice from Buyer of the arrangement of the Financing, each of Premier and Premier New Orleans agrees to file or cause to be filed all applications and any amendments thereto or additional applications, that may be necessary to obtain the FCC's consent to the assignment of the FCC Licenses to Buyer. Buyer agrees to cooperate with each of Premier and Premier New Orleans in discharging this responsibility. Assignment of FCC Licenses. (a) In order to consummate the sale of the Shares, Purchaser and the Company and Sellers will file within 10 business days after consummation of each of the Initial Purchase Agreements assignments of license applications (the "ASSIGNMENT APPLICATIONS") requesting FCC consent to the transfer of control of the Company to Purchaser with regard to the licenses, permits and other authorizations that are issued by the FCC to the Company relating to the operation of the Station or Stations acquired by Seller ("FCC LICENSES") as a result of such consummation. The parties agree to prosecute the Assignment Applications in good faith and with due diligence. Each party will be solely responsible for the expenses incurred by it in the preparation, filing and prosecution of the Assignment Applications (it being agreed that each of the Sellers, as a group, and Purchaser will pay one-half of the FCC filing fee). Satellink agrees to prepare all such applications and any amendments thereto and to cooperate with Newco in discharging this responsibility. The fees of special counsel retained by any Party in connection with application for and obtaining such FCC Consent, and the reasonable expenses associated therewith, shall be paid for by Satellink.
Assignment of FCC Licenses. (a) Purchaser shall as soon as reasonably practicable following the date of execution of this Agreement, diligently prepare all documentation, effect all filings and obtain all permits, consents, approvals and authorizations in order to assign the Licenses to Purchaser, without amendment or modification (other than those modifications, such as a change in name of the holder, required to be made as a result of the assignment of the Licenses by Seller to Purchaser in accordance with the provisions of this Agreement), as soon as possible on or after the Closing (“FCC Approvals”). Seller agrees for a period of one (1) year from the Closing Date to use its commercially reasonable efforts to assist Purchaser obtain the FCC Approvals, including without limitation executing and delivering to Purchaser and to such other parties as necessary all required documents to enable the assignment of the Licenses to Purchaser as soon as possible on or after the Closing.
