Intellectual Property Assignments. Each Intellectual Property Assignment is effective to grant to Collateral Agent for the benefit of Lenders an enforceable first priority Security Interest in all the Intellectual Property described therein, subject only to Permitted Security Interests affecting such Intellectual Property.

Newco shall have received from the Contributing Companies assignments of the Contributing Companies' right, title and interest in the following Intellectual Property Rights included in the Contributed Assets: (i) patents on disc operating system backup and recovery system and on data back-up restore for a computer network (the "PATENT ASSIGNMENT"); (ii) the "Backup Exec" registered trademark (the "TRADEMARK ASSIGNMENT"); and (iii) the copyright on Back-up Exec (the "COPYRIGHT ASSIGNMENT", and, together with the Intellectual Property Rights in clauses (i) and (ii), collectively, the "CORE IP"), each duly executed on behalf of said company and notarized, and in a form reasonably acceptable to VERITAS and acceptable for recording with the United States Copyright Office or the United States Patent and Trademark Office, as applicable. In addition, the Contributing Companies shall have taken such steps in causing the registration of copyrights in the Core IP and the recordation of any previous assignments in the chain of title for the Core IP which are necessary to enable Newco to record the Core IP assignments. 8.16
Intellectual Property Assignments. All current and former employees, consultants and independent contractors of the Company identified by Parent prior to the Effective Time (including those involved in the creation or development of intellectual property) to assign to the Company all rights to intellectual property related to the Company's business if such intellectual property rights were not previously assigned to the Company to Parent's satisfaction.

During the term of this Agreement, each Grantor shall secure valid written assignments of ownership from all persons who have contributed to the creation or development of Intellectual Property or who have applied for patents or registration of or obtained patents for or registered Intellectual Property of all rights of such persons in such Intellectual Property that the Grantors do not already own by operation of law and valid written agreements by all such persons to cooperate in the prosecution of any applications, patents or registrations of, and in the enforcement of, any such Intellectual Property (hereinafter all such assignments and agreements referred to as the “IP Assignments”); except to the extent that any failure to obtain an IP Assignment, individually or in the aggregate, does not adversely affect the value of the Company’s Intellectual Property and would not impair the Collateral Agent’s ability to use and dispose of such Intellectual Property as provided for in the Collateral Documents. Copies of all such IP Assignments shall be promptly delivered to the Collateral Agent upon the request of the Collateral Agent.
