Allocation of Bandwidth. Pursuant to the Channel Sharing Rules, during the Shared Use Term the parties shall share the 6 MHz Shared Channel (i.e., the 19.39 Megabits per second (“Mb/s”) of data capacity under the current ATSC system), as set forth in subsections (a) and (b) below, the other terms of this Agreement, and the Engineering Plan attached hereto as Schedule 2.1. which may be modified from time to time by mutual written agreement of the parties. Each channel sharing licensee shall retain sufficient Capacity Rights to allow it to provide at least one Standard Definition (SD) over-the-air program stream at no direct charge to viewers at all times.

Allocation of Bandwidth. Pursuant to the Channel Sharing Rules, upon commencement of the channel sharing contemplated by this Agreement, Sharer and Xxxxxx shall share the 6 MHz Shared Channel (or 19.39 Megabits per second (“Mb/s”) as allocated under the current ATSC 1.0 standard) as set forth on Schedule 2.1, which may be modified from time to time only by mutual written agreement of the parties, but which, at a minimum, shall provide that each channel sharing licensee shall retain spectrum usage rights adequate to ensure a sufficient amount of the Shared Channel capacity to allow it to provide at least one Standard Definition over-the-air program at all times (no less than 2.0 Mb/s). Sharer and Xxxxxx may elect to implement a mutually beneficial weighting system as allowed by the encoding pool and use the software optimization technology of statistical multiplexing or “Stat Mux” or a successor technology mutually agreed upon by the parties. In such event, each party shall designate one program stream with the highest priority within its allocated capacity, all other program streams shall have a lesser priority, and the parties shall cooperate to devise a system that produces the best results for each party with minimum picture degradation, subject to the constraints imposed by the agreed allocation of capacity.

If the applicable Seller does not consent to such Allocation, the applicable Seller shall notify Purchaser in writing of such disagreement within such thirty (30) day period, and thereafter, the applicable Seller shall attempt in good faith to promptly resolve any such disagreement. If the Parties cannot resolve a disagreement under this Section 3.3, such disagreement shall be resolved by an independent accounting firm chosen by Purchaser and reasonably acceptable to the applicable Seller, and such resolution shall be final and binding on the Parties. The fees and expenses of such accounting firm shall be borne equally by Purchaser, on the one hand, and the applicable Seller, on the other hand. The applicable Seller shall provide Purchaser, and Purchaser shall provide the applicable Seller, with a copy of any information described above required to be furnished to any Taxing Authority in connection with the transactions contemplated herein.
