Allocation of Resources. So that the mutually agreedupon objectives of the agreement can be adequately met, resources from the School Board and the DJJ will be allocated based on the previously identified roles and responsibilities of each agency. XXX agrees to the following:
Allocation of Resources. Whenever a disaster causes Vendor to allocate limited resources between or among Vendor's customers, vendor will not provide priority over Prudential to any other customers of Vendor. In addition, in no event will Vendor re-deploy or reassign any vendor Key Employee (as identified and defined in an applicable Engagement Schedule) or any Affected Employee (as identified and defined in an applicable Engagement Schdule) to any other Vendor account in the event of a disaster.

Without limiting Successful Respondent’s obligations under this Agreement, whenever a force majeure event or disaster causes Successful Respondent to allocate limited resources between or among Successful Respondent’s customers and Affiliates, DIR and the DIR Customers shall receive at least the same treatment as comparable Successful Respondent customers. In no event shall Successful Respondent re-deploy or re-assign any Key Personnel to another customer or account in the event of the occurrence of a force majeure event.

During the term of this Agreement, Worthy Management shall provide the Services pursuant to this Agreement and allocate a sufficient amount of their time, focus, resources and effort as Worthy Management may determine is reasonably necessary to perform such Services under the then-current scope of Services, and with that degree of care, diligence and skill that a reasonably prudent manager involved in providing services comparable to those of the Services.

In addition, Supplier shall not redeploy or reassign any Key Supplier Personnel to another account in the event of a Force Majeure Event.
