Adequacy Sample Clauses

Adequacy. Customer must satisfy itself as to the adequacy, appropriateness and compatibility of the Windcave Solution and/or the Goods for its requirements. Without limiting clause 7.1, Customer acknowledges that it has not relied on any statements or representations on the part of Windcave as to performance or functionality, verbal or otherwise, except as expressly recorded in this Agreement.
Adequacy. Seller’s Intellectual Property are all those necessary for the normal conduct of the Business as presently conducted including the procurement, distribution and sale of all products and services currently under development, planned for development or in practice.
Adequacy. Owner shall be responsible for the adequacy of the design and for the sufficiency of the Drawings and Specifications.
Adequacy. Compliance with this Agreement by the Australian Customs and Border Protection Service shall, within the meaning of relevant EU data-protection law, constitute an adequate level of protection for PNR data transferred to the Australian Customs and Border Protection Service for the purpose of this Agreement.

Adequacy. Subject to ongoing compliance with the commitments on privacy and protection of personal data set out in this Agreement, the U.S. Treasury Department is deemed to ensure an adequate level of data protection for the processing of financial payment messaging and related data transferred from the European Union to the United States for purposes of this Agreement.
Adequacy. LINQ will at all times provide an adequate level of protection for Data that it processes on behalf of You.
Adequacy. (a) Subject to applicable regulatory approvals, including adherence to least-cost planning requirements and principles, and subject to the oversight and direction of MISO where applicable, the Company shall have a public utility duty to operate, maintain, plan and construct its transmission system so that the system is adequate:
Adequacy. Subject Partner Company Proprietary Assets constitute all the Proprietary Assets necessary to enable each Subject Partner Company to conduct its business in the manner in which such business has been and is being conducted. No Subject Partner Company has licensed any of the Subject Partner Company Proprietary Assets to any person other than in the ordinary course of business (including licenses under customer contracts) as disclosed in Section 4.18(e) of Partner Company Disclosure Schedule. No Subject Partner Company has entered into any covenant not to compete, escrow or other agreement limiting its ability to exploit fully any of the Subject Partner Company Proprietary Assets or to transact business in any market or geographic area or with any person. Except as described in Section 4.18(e) of Partner Company Disclosure Schedule, no Subject Partner Company has granted a license to any Subject Partner Company source code to any third party.
Adequacy. Buyer acknowledges that, to the Knowledge of the Buyer, the Assets transferred pursuant to this Agreement, together with the Buyer’s existing resources, enables Buyer to operate the Business as an ongoing entity and that no other assets are needed from Seller to do so.
