Knowledge of the Buyer definition
Knowledge of the Buyer means, as to a particular matter, the actual knowledge, after reasonable inquiry, of the following persons at the Buyer: ▇▇▇▇▇ ▇▇▇▇, ▇▇▇▇▇ ▇▇▇▇▇▇▇, ▇▇▇▇▇ ▇▇▇▇▇▇▇, ▇▇▇▇▇▇ ▇▇▇▇▇, ▇.▇. ▇▇▇▇▇▇▇, and ▇▇▇▇ ▇▇▇▇▇.
Knowledge of the Buyer means the actual knowledge of any senior officer of the Buyer after reasonable inquiry within Buyer and its Affiliates with respect to the matter in question.

Assuming satisfaction of the conditions set forth in Article VIII, as of the date of this Agreement, the Buyer will not, to the Knowledge of the Buyer, be unable to satisfy on a timely basis all conditions to be satisfied by it in the Equity Commitment Letter at the time it is required to consummate the Closing hereunder, nor, to the Knowledge of the Buyer, will the Equity Sponsor fail to perform its funding obligations under the Equity Commitment Letter in accordance with its terms and conditions.
More Definitions of Knowledge of the Buyer
Knowledge of the Buyer means the actual personal knowledge of any of the directors and officers of the Buyer or the Buyer Bank or any of their Subsidiaries.
Knowledge of the Buyer or “Known to the Buyer” shall mean actual knowledge of the Persons listed on Section 1.1 of the Buyer Disclosure Schedule.
Knowledge of the Buyer means the actual knowledge (without independent investigation) of any of the individuals whose names are set forth on Section 1.1(a) of the Buyer Disclosure Letter.
