Average Market Price. The average market price per kilowatt-hour is calculated based on the results of spot market transactions on the Japan Electric Power Exchange (hereinafter referred to as "market price"). The market price refers to the area price of each supply area of the T&D Operator. The unit of the average market price is set to 1 sen (one-hundredth of 1 yen), and any fractions shall be rounded up or down to the nearest first decimal place.

The “Market Price” for each day shall be the last reported sale price or, in case no such sale takes place on such day, the average of the closing bid and asked prices of the Common Stock, in either case as reported in the principal consolidated transaction reporting system with respect to securities listed or admitted to trading on the principal national securities exchange on which the Common Stock is listed or admitted to trading or, if the Common Stock is not listed or admitted to trading on any national securities exchange, the last quoted sale price or, if not so quoted, the average of the high bid and low asked prices in the over-the-counter market, as reported by the National Association of Securities Dealers, Inc. Automated Quotations System or such other system then in use, or, if on any such date the Common Stock is not quoted by any such organization, the average of the closing bid and asked prices as furnished by a professional market maker making a market in the Common Stock selected by the Board of Directors of the Company. If the Common Stock is not publicly held or so listed or publicly traded, the “Market Price” shall be the fair market value per share as determined in good faith by the Board of Directors of the Company. For the purposes of this Agreement, “Business Day” shall mean any day other than a Saturday, Sunday or legal holiday in the State of New York or any other day on which securities are not traded in the system or on the exchange that is the principal market for the Common Stock.
Average Market Price. The Average Market Price of the Whitney Common Stock as calculated in accordance with Section 2.01 (but without regard to the proviso contained therein) shall not be more than $35.50, provided that Whitney may not terminate this Agreement pursuant to this Section 6.02(I) if Whitney has executed a definitive merger or other acquisition agreement as a result of which Whitney would cease to be an independent, public company.

Average Market Price. The term "Average Market Price" for a share of Wang Common Stock means the average of the daily Current Market Prices of a share of Wang Common Stock during the 45 consecutive trading days immediately prior to the day in question.
Average Market Price. If the Alternative Exercise Price includes any property other than cash, the Alternative Exercise Price shall be the sum of (A) the fixed cash amount, if any, included in the Alternative Exercise Price plus (B) the fair market value of such other property. If such other property consists of securities with an existing public trading market, the average of the closing prices (or the average of the closing bid and asked prices if closing prices are unavailable) for such securities in their principal public trading market on the ten (10) trading days ending on and including the third day prior to the date of the Cash Exercise Notice shall be deemed to equal the fair market value of such property. If such other property consists of something other than cash or securities with an existing public trading market and, as of the payment date for the Spread, agreement on the value of such other property has not been reached, the Alternative Exercise Price shall be deemed to equal the Average Market Price. Upon exercise of its right pursuant to this Section 2(c) and the receipt by Parent of the applicable cash amount with respect to the Option Shares or the applicable portion thereof, the obligations of the Company to deliver Option Shares pursuant to Section 3(b) shall be terminated with respect to the number of Option Shares for which Parent shall have elected to be paid the Spread. The Spread shall be appropriately adjusted, if applicable, to give effect to Section 6(a).
Average Market Price. The "Average Market Price" shall be the average of the closing per share trading prices of Whitney Common Stock (adjusted appropriately for any stock split, stock dividend, recapitalization, reclassification or similar transaction which is effected, or for which a record date occurs) on the twenty (20) trading days preceding the fifth trading day immediately prior to the Effective Time, as reported in the Wall Street Journal (corrected for typographical errors); provided, however, that if the Average Market Price as calculated above is less than $25.50, the Average Market Price for purposes of this Section 2.01(a) shall be $25.50, and if the Average Market Price as calculated above is greater than $35.50, the Average Market Price for purposes of this Section 2.01(a) shall be $35.50.
