Unscheduled Redemption Amount definition

Unscheduled Redemption Amount means, in respect of each Unscheduled Redemption Date and in respect of each nominal amount of Notes equal to the Calculation Amount, an amount in USD calculated by the Calculation Agent equal to such Note’s pro rata share (in proportion to the Aggregate Nominal Amount of the series of the Notes then outstanding) of the Unscheduled Principal Repayment Amount, less the deduction of any taxes (whether such taxes were imposed before, on or after the Trade Date, including but not limited to withholding taxes) received by a Reference Obligation Holder and subject to downward or upward adjustment for Hedging Costs
Unscheduled Redemption Amount means, in respect of each Note, an amount in USD equal to the Loan Unscheduled Prepayment Amount divided by the number of Notes outstanding.Condition 11 (Redemption Amount and Early Redemption Amount)Redemption Amount: The Denomination of the Note minus any Unscheduled Redemption Amounts previously paid in respect of the Note.Early Redemption Amount: If the Notes are declared due and payable in accordancewith Condition 13 (Events of Default) or are due to redeem in accordance with Condition 10(c) (Redemption for taxation), notwithstanding anything to the contrary in the Master Conditions, the Company shall notify the Trustee (to the extent that it has not already done so), the Broker , Principal Paying Agent and the Noteholders (the date of such notice being the “Early Redemption Event Notification Date”).Any Noteholder may give written notice to the Company, the Trustee, the Broker and the Principal Paying Agent (so long as any Notes are represented by a Global Note, such notice to be given to the Principal Paying Agent electronically through the clearing systems), (the “Physical Settlement Notice”) by 5:00pm (London time) on the Business Day falling five Business Days after the Early Redemption Event Notification Date (the “Physical Settlement Notice Cut-off Time”), specifying that it wishes physical settlement to apply to all (but not some only) of the Notes held by such Noteholder in place of the Company’s obligation to pay the Early Redemption Amount.If a valid Physical Settlement Notice is received by the Company by the Early Physical Settlement Cut-off Time, the Company shall redeem the Notes of the relevant Noteholder in accordance with the following provisions unless the Determination Agent determines that the transfer of the Loan to the relevant Noteholder is not practicable: Condition 12 (Payments and Talons)

Related to Unscheduled Redemption Amount

  • Scheduled Redemption Date means the first (1st) Business Day following the twenty first (21st) anniversary of the Issue Date.

  • Maximum Redemption Amount has the meaning specified in the applicable Final Terms;

  • Minimum Redemption Amount has the meaning specified in the applicable Final Terms;

  • Triggering Redemption Amount means, for each share of Preferred Stock, the sum of (a) the greater of (i) 130% of the Stated Value and (ii) the product of (y) the VWAP on the Trading Day immediately preceding the date of the Triggering Event and (z) the Stated Value divided by the then Conversion Price, (b) all accrued but unpaid dividends thereon and (c) all liquidated damages and other costs, expenses or amounts due in respect of the Preferred Stock.

  • Monthly Redemption Amount means, as to a Monthly Redemption, one seventh of the original principal amount at 110% of such principal amount, plus accrued but unpaid interest, liquidated damages and any other amounts then owing to the Holder in respect of this Note.

  • Final Redemption Amount means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, the relevant Final Terms;

  • Optional Redemption Amount means the sum of (a) 120% of the then outstanding principal amount of the Debenture, (b) accrued but unpaid interest on the Debenture and (c) all liquidated damages and other amounts due in respect of the Debenture.

  • Optional Redemption Amount (Put) means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, the relevant Final Terms;

  • Make-Whole Redemption Amount means the sum of:

  • Optional Redemption Amount (Call) means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, the relevant Final Terms;

  • Term Redemption Date means, with respect to any Series, the date specified as the Term Redemption Date in the Appendix for such Series.

  • Minimum Redemption means, in relation to the Euro Non-RDR ‘Retail’ Unhedged Distribution Shares, a minimum redemption of €250 or such lesser amount as may be agreed by the Directors;

  • Redemption Amount means, as appropriate, the Final Redemption Amount, the Early Redemption Amount (Tax), the Optional Redemption Amount (Call), the Optional Redemption Amount (Put), the Early Termination Amount or such other amount in the nature of a redemption amount as may be specified in, or determined in accordance with the provisions of, the relevant Final Terms;

  • Monthly Redemption Date means the 1st of each month, commencing immediately upon the nine month anniversary of the Original Issue Date and terminating upon the full redemption of this Debenture.

  • Specified Redemption Date means the tenth (10th) Business Day after receipt by the General Partner of a Notice of Redemption; provided that if the Company combines its outstanding REIT Shares, no Specified Redemption Date shall occur after the record date of such combination of REIT Shares and prior to the effective date of such combination.

  • Final Preference Share Redemption Amount means, subject to the provisions of the Articles and the Conditions, in respect of each Preference Share, an amount expressed in the Settlement Currency determined by the Calculation Agent equal to the Notional Amount multiplied by:

  • Monthly Redemption means the redemption of this Debenture pursuant to Section 6(b) hereof.

  • Early Redemption Amount (k means the "Early Redemption Amount (k)" as calculated or, respectively specified by the Calculation Agent pursuant to § 4 (2) of the Special Conditions.

  • Final Redemption Date means for each Series, the final redemption date specified in the Final Terms for such Series.

  • Optional Redemption Pricing Date means a Valuation Date on which a Redemption Order is determined to be valid and accepted by or on behalf of the Issuer in accordance with the terms of the LS Operating Procedures Agreement.

  • Early Redemption Amount means in respect of each Note in circumstances where such Notes are redeemed early pursuant to Conditions 7(b) or (c), the outstanding principal amount of each Note, unless otherwise specified in the Final Terms or Series Offering Document, as applicable;

  • Automatic Early Redemption Amount means the Automatic Early Redemption Amount specified in the relevant Final Terms.

  • Mandatory Redemption Amount means an amount per ETP Security calculated by the Determination Agent equal to the greater of:

  • Final Redemption Value means the Underlying Reference Value.

  • Special Redemption Date has the meaning set forth in Section 10.2.

  • Optional Redemption Date shall have the meaning set forth in Section 6(a).
