Unavoidable Event definition

Unavoidable Event. As defined in Section 21.2.
Unavoidable Event means: (1) compliance with acts, orders, regulations, or requests of any governmental authority or any person purporting to act therefore; (2) insurrections, wars, rebellion, riots, strikes, or labor disruptions; (3) action of the elements not reasonably preventable or accidental disruption; (4) breakdown of production or transportation facilities that is not reasonably preventable; (5) any event that is an “Unavoidable Event” as defined in the Alberta Clipper U.S. Term Sheet; and (6) any other cause, whether or not of the same class or kind, reasonably beyond EPI’s control.
Unavoidable Event means, in respect of a party, any event beyond the reasonable control of such party, including acts of God, flood, labor disturbances, earthquakes, storms, fire, lightning, epidemic, war, riots, civil disturbance or disobedience, restraint by government body, or default by a third party internet, infrastructure or service provider.

Examples of Unavoidable Event in a sentence

  • If an Unavoidable Event occurs which, in the TOWN’s reasonable determination, makes the performance of the Agreement impossible without the expenditure of additional TOWN funds, the TOWN may, at its option, elect to terminate this Agreement upon thirty (30) days written notice.

  • The performance of the interrupted obligations shall be reinstated upon the termination of the Unavoidable Event.

  • No Unavoidable Event shall affect any obligation to pay any monies payable under this Agreement.

  • Where an Unavoidable Event occurs, we will attempt to recommence provision of the Services as soon as reasonably practicable.

  • If an Unavoidable Event occurs which makes the performance of the Agreement impossible without the expenditure of additional TOWN funds, the TOWN may, at its option, elect to terminate this Agreement upon thirty (30) days written notice.

  • The Port shall have no liability whatsoever (whether for negligence or otherwise) for deficiency, loss, damage, or misdelivery or delay to a Vessel and/or Plant and/or Goods or any deficiency therein if the same arises out of or is caused by any Unavoidable Event.

  • If commencement of construction of Alberta Clipper Canada is delayed beyond August, 2008 (or any replacement date selected by EPI for the commencement of construction), or if the actual In-Service Date is delayed to a date that is later than the Targeted Date set forth above, in either case, as a result of any Unavoidable Event or Regulatory Delay, then, the Targeted Date shall be deferred by one day for each day of such delay.

  • To the fullest extent permitted by law, MFF does not accept responsibility for any delay, postponement, cancellation or change to the Event or the Venue that is caused or attributed to an Unavoidable Event.

  • The Port shall have no liability whatsoever (whether for negligence or otherwise) for deficiency, loss, damage, or misdelivery or delay to a Vessel and/or Plant and/or Goods or any deficiency therein if the same arises out of or is caused by any Unavoidable Event.

Unavoidable Event means action or inaction taken by the United States Congress which effects this Apartment Housing, restrictions placed by the United States Congress which effects this Apartment Housing, or the insolvency of Insurance Company. Lack of funds shall not be deemed to be a cause beyond the control of a party unless such funding shortfall is caused by action of the United States government, restrictions placed by the United States Congress or losses caused as a result of the insolvency of the Insurance company providing policies of insurance for any portion of the Apartment Housing.

Related to Unavoidable Event

  • Unavoidable Delay means an event which delays Closing which is a strike, fire, explosion, flood, act of God, civil insurrection, act of war, act of terrorism or pandemic, plus any period of delay directly caused by the event, which are beyond the reasonable control of the Vendor and are not caused or contributed to by the fault of the Vendor. “Unavoidable Delay Period” means the number of days between the Purchaser’s receipt of written notice of the commencement of the Unavoidable Delay, as required by paragraph 5(b), and the date on which the Unavoidable Delay concludes.

  • Unavoidable means adverse impacts that remain after all appropriate and practicable avoidance and minimization have been achieved.

  • Unavoidable Delays means delays due to any of the following, and only the following, (provided that such delay is beyond Construction Manager’s reasonable control): war, insurrection, civil commotion, strikes, slowdowns, lock outs, riots, flood, earthquakes, fires, casualties, acts of God, acts of a public enemy, acts of terrorism, epidemics, quarantine restrictions, freight embargoes, lack of transportation, governmental moratoriums, unusually severe or abnormal weather conditions, failure of utilities, or a court order which causes a delay (unless resulting from a wrongful act of Construction Manager). In no event shall the application to Construction Manager of any applicable law, regulation, rule or other governmental requirement constitute an Unavoidable Delay. Contractor shall use reasonable good faith efforts to notify Owner not later than five (5) days after Construction Manager knows of the occurrence of an Unavoidable Delay. An extension of time for an Unavoidable Delay shall only be for the period of the Unavoidable Delay, which period shall commence to run from the time of the commencement of the cause of the Unavoidable Delay.

  • Force Majeure means an event beyond the control of the supplier and not involving the supplier’s fault or negligence and not foreseeable. Such events may include, but is not restricted to, acts of the purchaser in its sovereign capacity, wars or revolutions, fires, floods, epidemics, quarantine restrictions and freight embargoes.

  • Force Majeure Event means an event, or a series of related events, that is outside the reasonable control of the party affected (including failures of the internet or any public telecommunications network, hacker attacks, denial of service attacks, virus or other malicious software attacks or infections, power failures, industrial disputes affecting any third party, changes to the law, disasters, explosions, fires, floods, riots, terrorist attacks and wars);

  • Force Majeure Events means acts of war, domestic and/or international terrorism, civil riots or rebellions, quarantines, embargoes and other similar unusual governmental actions, extraordinary elements of nature or acts of God.

  • Relevant Force Majeure Event means a Force Majeure Event in relation to which an Affected Party is claiming relief under this Clause 17; and

  • Event of Force Majeure means one of the following events:

  • Unforeseeable means not reasonably foreseeable by an experienced contractor by the Base Date.

  • Aggravated circumstances means circumstances in which a parent:

  • Disturbance Control Standard or “DCS” shall mean the reliability standard that sets the time limit following a disturbance within which a balancing authority must return its Area Control Error to within a specified range.

  • Catastrophic Event means a rare circumstance in which mass casualties and/or significant property damage has occurred or is imminent (e.g. September 11th, hurricanes, earthquakes greater than 6.1 on the Richter scale)

  • Disaster means a sudden emergency occurrence beyond the control of the licensee, whether natural, technological, or man-made, that renders the licensee unable to operate the facility or makes the facility uninhabitable.

  • Serious emotional disturbance means a diagnosable mental, behavioral, or emotional disorder affecting a minor that exists or has existed during the past year for a period of time sufficient to meet diagnostic criteria specified in the most recent Diagnostic and Statistical Manual of Mental Disorders published by the American Psychiatric Association and approved by the department and that has resulted in functional impairment that substantially interferes with or limits the minor's role or functioning in family, school, or community activities. The following disorders are included only if they occur in conjunction with another diagnosable serious emotional disturbance:

  • Uncontrollable Circumstance means any event which:

  • Substantial emotional distress means significant mental suffering or anguish that may, but does not necessarily, require medical or other professional treatment or counseling.

  • Force Majeure Exception means any failure or delay in the performance of the Issuer's reporting obligation pursuant to Section 2.4 arising out of or caused, directly or indirectly, by circumstances beyond its reasonable control, including, without limitation, acts of God; earthquakes; flood; terrorism; wars and other military disturbances; sabotage; epidemics; riots; loss or malfunctions of utilities, computer (hardware or software) or communication services; accidents; acts of civil or military authority and governmental action. The Issuer shall use commercially reasonable efforts to commence performance of its obligations during any of the foregoing circumstances.

  • Natural Disaster means a flood, hurricane, tornado, earthquake, volcanic eruption, fire, wildfire or blizzard that is due to natural causes.

  • Act of God means a cataclysmic phenomenon of nature, including earthquake, flood or cyclone. Rain, snow, wind, high water or any other natural phenomenon, which might reasonably have been anticipated from historical records of the general locality of the City, shall be deemed not to be acts of God;

  • Force Majeure Failure has the meaning set forth in Section 8.1(d).

  • Autism spectrum disorder means a neuro-developmental condition typically appearing in the first three years of life that significantly affects a person's ability to communicate, understand relationships and relate to others, and is frequently associated with unusual or stereotypical rituals or behaviours.

  • Cognitive Impairment means a deficiency in a person’s short-term or long-term memory; orientation as to person, place, and time; deductive or abstract reasoning; or judgment as it relates to safety awareness.

  • Prevention means measures taken before a substance, material or product has become waste, that reduce:

  • Functional impairment means both of the following:

  • Unforeseen means not anticipated or expected and occurring after the effective date of coverage.

  • Unforeseeable Financial Emergency means an unanticipated emergency that is caused by an event beyond the control of the Participant that would result in severe financial hardship to the Participant resulting from (i) a sudden and unexpected illness or accident of the Participant or a dependent of the Participant, (ii) a loss of the Participant's property due to casualty, or (iii) such other extraordinary and unforeseeable circumstances arising as a result of events beyond the control of the Participant, all as determined in the sole discretion of the Committee.
