Unaffected Claim means any:

• Any claim of a Director or Officer for indemnification from a Participating CCAA Party in respect of any D&O Claim (including any subrogation claim by an insurer) (a “ Director Indemnity Claim”) shall be cancelled for no consideration except to the extent such Director Indemnity Claim is secured by the Directors’ Charge, in which case such Director Indemnity Claim shall be treated for all purposes of the Plan as an Unaffected Claim.

• Nothing in this Plan shall affect Coalspur’s or the Directors’ rights to defences, both legal and equitable, with respect to any Unaffected Claim including any rights with respect to legal and equitable defences or entitlements to set-offs or recoupments against such Unaffected Claims.

• For greater certainty, nothing in this Section shall waive any obligations of Coalspur in respect of any Unaffected Claim.

• Persons with Unaffected Claims shall not be entitled to vote at any Creditors’ Meeting or receive any distributions under this Plan in respect of the portion of their claim which is an Unaffected Claim.

• Nothing herein shall constitute a waiver of any rights of any of the Applicants to dispute the quantum or validity of an Unaffected Claim.

More Definitions of Unaffected Claim

Unaffected Claim means any right of any Person in connection with any indebtedness, liability or obligation described in Section 2.3(a) hereof.

Unaffected Claim means any: (a) Claim secured by any of the Charges (provided that, following the discharge of the Charges on the Plan Implementation Date, such Claims shall be paid from and limited to recovery as against the Administration Charge Reserve or the Directors’ Charge Reserve, as applicable, in accordance with the Plan); (b) Government Priority Claim; (c) Employee Priority Claim; (d) Lien Claim; (e) other Claim of any employee, former employee, Director or Officer of SFC in respect of wages, vacation pay, bonuses, termination pay, severance pay or other remuneration payable to such Person by SFC; (f) Trustee Claims; and (g) any trade payables that were incurred by SFC (i) after the Filing Date but before the Plan Implementation Date; and (ii) in compliance with the Initial Order or other Order issued in the CCAA Proceeding.

Unaffected Claim has the meaning given to it in the Plan.
