The Corporation shall have no obligation to pay such expenses inadvance if (i) they arise in any claim or proceeding in which the Corporation has filed a claim against such Director or officer, or (ii) the Corporation in its sole discretion believes that such person's activitiesin question were (at the time taken) known or believed by him to be clearly in conflict with the best interest of the Corporation.
Except as provided below, if the Director or officer involved shall give the Corporation a written undertaking to repay the expenses described in thefirst paragraph of the preceding Section 1 of Article VI (unless it shall ultimately be determined that heis entitled to be indemnified by the Corporation against such expenses), the Corporation shall pay expenses incurred by such Director or officer in defending a civil or criminal action, suit or proceedingin advance of its final disposition.
