Director or officer means any of the following:
Director or officer means each person who is serving or who has served as a director or officer of the Corporation or, at the request of the Corporation, as a director, officer, partner, trustee, employee or agent of Another Enterprise.
Director or officer means an individual who is or was a director or officer of the corporation and includes the estate or personal representative of such person.

The Corporation shall have no obligation to pay such expenses inadvance if (i) they arise in any claim or proceeding in which the Corporation has filed a claim against such Director or officer, or (ii) the Corporation in its sole discretion believes that such person's activitiesin question were (at the time taken) known or believed by him to be clearly in conflict with the best interest of the Corporation.
Except as provided below, if the Director or officer involved shall give the Corporation a written undertaking to repay the expenses described in thefirst paragraph of the preceding Section 1 of Article VI (unless it shall ultimately be determined that heis entitled to be indemnified by the Corporation against such expenses), the Corporation shall pay expenses incurred by such Director or officer in defending a civil or criminal action, suit or proceedingin advance of its final disposition.

Director or officer means a natural person who serves as a director or officer of a credit union, a member of a credit union’s credit committee, or a natural person who was a trustee of the Wis- consin credit union savings insurance corporation organized under s. 186.35, 2003 stats.

3. An individual who, while a director or officer of this Corporation, is or was serving an employee benefit plan because his or her duties to the Corporation also impose duties on, or otherwise involve service by, the person to the plan or to participants in or beneficiaries of the plan.
4. Unless the context requires otherwise, the estate or personal representative of a director or officer. For purposes of this Article, it shall be conclusively presumed that any director or officer serving as a director, officer, partner, trustee, member of any governing or decision-making committee, employee or agent of an Affiliate shall be so serving at the request of the Corporation.
Director or officer means any of the following: (i) A natural person who is or was a director or officer of the Corporation; (ii) A natural person who, while a director or officer of the Corporation, is or was serving either pursuant to the Corporation’s specific request or as a result of the nature of such person’s duties to the Corporation as a director, officer, partner, trustee, member of any governing or decision making committee, employee or agent of another corporation or foreign corporation, partnership, joint venture, trust or other enterprise; (iii) A natural person who, while a director or officer of the Corporation, is or was serving an employee benefit plan because his or her duties to the Corporation also impose duties on, or otherwise involve services by, the person to the plan or to participants in or beneficiaries of the plan; or (iv) Unless the context requires otherwise, the estate or personal representative of a director or officer. Notwithstanding the foregoing, an agent falls within the foregoing definition only upon a resolution of the Board of Directors or committee appointed thereby that such agent shall be entitled to the indemnification provided herein.
