The recommendations and advice of the Technical Committee are subject in all instances to the determinations of management and the Board.
The Technical Committee will be advisory only, with no authority to bind the Corporation, or any of its affiliates, or direct the business and affairs of the Corporation, or any of its affiliates, except as provided in the mandate of the Technical Committee as approved by the Board.
Each observer on the Technical Committee shall be referred to as an “Observer”.
Technical Committee Charter The Committee may invite such officers, directors and employees of the Company and its subsidiaries and other persons as it may see fit, from time to time, to attend its meetings and assist in discussions and affairs of the Committee.
