Settled Class Claims definition

Settled Class Claims means any and all claims, demands, rights, liabilities and causes of action of every nature and description whatsoever, whether based in law or equity, on federal, state, local, foreign, statutory or common law, or any other law, rule, or regulation (including, but not limited to, all claims arising out of or relating to any acts, omissions, disclosures, public filings, registration statements, financial statements, audit opinions, or statements by the Settling Defendants, FHFA or the Individuals, including without limitation, claims for negligence, gross negligence, constructive or actual fraud, negligent misrepresentation, conspiracy, or breach of fiduciary duty), whether known or unknown, whether or not concealed or hidden, accrued or not accrued, foreseen or unforeseen, matured or not matured, that were asserted or that could have been asserted directly, indirectly, representatively or in any other capacity, at any time, in any forum by Plaintiffs against the Released Parties arising out of, based upon, or related in any way to: (a) the purchase or acquisition of Fannie Mae common stock or call options, or the sale or disposition of Fannie Mae put options, by any Plaintiff between April 17, 2001 and December 22, 2004, the allegations that were made or could have been made in the Consolidated Action and any of the facts, transactions, events, occurrences, disclosures, statements, acts, omissions or failures to act which were or that could have been asserted by Plaintiffs in the Consolidated Action; or (b) the Settlement or resolution of the Consolidated Action (including, without limitation, any claim for attorneys’ fees by Lead Plaintiffs or any Class Member) (the “Settled Class Claims”). Settled Class Claims shall also include any Unknown Claims. Unknown Claims means any claims that any Plaintiff does not know or suspect to exist in his, her, its or their favor at the time of the release of the Released Parties which, if known by him, her, it, or them might have affected his her, its or their settlement with and release of the Released Parties, or might have affected his, her, its, or their decision not to object to this Settlement. Settled Class Claims also include any claims of any person or entity that submitted a request for exclusion as set forth in Appendix 1 to the Stipulation and who does not opt back into the Class. Settled Class Claims means any and all claims by Lead Plaintiffs released pursuant to paragraph 3, below.
Settled Class Claims means the claims that the Class will release pursuant to this Settlement as provided in Section XIV.1.

Examples of Settled Class Claims in a sentence

  • As part of the Claim Form, each Class Member shall submit to the jurisdiction of the Court with respect to the claim submitted and shall (subject to effectuation of the Settlement) release all Settled Class Claims as provided in the Agreement.

  • Pending final determination of whether the Settlement Agreement should be approved, Class Counsel, Plaintiff and Class Members are barred and enjoined from commencing or prosecuting any action asserting any Settled Class Claims against Nautilus.

  • The satisfaction of the obligations incurred pursuant to this Stipulation shall be in full and final disposition of the Consolidated Action and any and all Settled Class Claims and Parties’ Released Claims.


More Definitions of Settled Class Claims

Settled Class Claims means the claims that the Class will release pursuant to this Settlement as provided in Section XIV.

Settled Class Claims means all claims or causes of action, whether individual or representative, however denominated, including, without limitation, any Unknown Claims, debts, suits, rights, rights of action, liabilities, damages, losses, fees, costs, dues, sums of money, accounts, bonds, bills, covenants, con- tracts, controversies, agreements, promises, judgments, variances, executions, demands or obligations of any kind or nature whatsoever, matured or unmatured, accrued or unaccrued, asserted or that might have been asserted, liquidated or unliquidated, absolute or contingent, known or unknown, pleaded or unpleaded, sus- pected or unsuspected, for compensatory damages, or any other relief, monetary, injunctive, at law, admiral- ty, equity, action to reach and apply, or otherwise, including, without limitation, claims for contribution, indemnification, set-off, reduction or reimbursement, malpractice, breach of contract negligence, gross neg- ligence, negligent misrepresentation, fraud or violations of any state or federal statutes, rules or regulations, that now exist or heretofore existed or may hereafter arise, that relate to, or which are in any way based upon or arise from, or are in any way connected with the claims asserted in the Litigations or any of the acts, facts, events, circumstances, matters, claims, transactions, occurrences, omissions, representations, misrepresenta- tions, or matter of any kind or nature whatsoever, related to the subject matters referred to in, set forth in, or the facts or claims for relief which were or could have been alleged or litigated in, the Litigations or any other forum or in any discovery or other proceedings in connection therewith, or which are directly or indi- rectly attributable to the Defendants; provided, however, that claims to enforce the terms of the Stipulation and, if approved by the Federal Court, the Settlement shall not be included in the Settled Class Claims and that any claims arising from the purchase or ingestion of Redux™ shall not be included in the Settled Class Claims.
Settled Class Claims or “Released Claims” means any and all claims, demands, rights, actions or causes of action, liabilities, damages, losses, obligations, judgments, suits, fees, expenses, costs, matters and issues of any kind or nature whatsoever, whether known or unknown, contingent or absolute, suspected or unsuspected, disclosed or undisclosed, hidden or concealed, matured or unmatured, that have been, could have been, or in the future can or

Settled Class Claims means collectively any and all claims, demands, rights, liabilities, suits, matters, obligations, damages, losses, costs, actions and causes of action of every nature and description whatsoever, in law or equity, known or unknown, latent or patent, asserted, unasserted or that might have been asserted (including, without limitation, assigned claims and common law claims for breach of contract, unjust enrichment, violations of any Consumer Protection Act or state or federal statutes, rules or regulations) either directly, in a representative capacity or in any other capacity, by the Releasing Parties against the Released Parties, including all such claims for general, special, punitive and statutory damages, as well as any and all claims for penalties, attorneys' fees and costs of such, that arise from the alleged acts, omissions, representations, facts, events, matters, transaction or occurrences at issue in the Action, including specifically any and all claims against the Released Parties seeking the return, recovery, credit or waiver of the late fees assessed to Loan accounts during the Class Period. Settled Class Claims include, without limitation, Unknown Class Claims and all claims asserted in the Complaint on file in the Action, and all claims alleged or asserted, or which could have been alleged or asserted, against the Released Parties that arise from the alleged acts, omissions, representations, facts, events, matters, transactions or occurrences relating to the late fees at issue in the Action.
Settled Class Claims means any and all claims, whether known or Unknown Claims, that were asserted or could have been asserted in the action by Plaintiffs or Putative Class Members, directly, derivatively, or in any other capacity, against the Defendant, Universal Parent, or Atlas, as well as each of their present or former parents, subsidiaries, affiliates, successors, or assigns, and the present or former officers, directors, employees, agents, attorneys, insurers, successors, and assigns of each of them, under state, federal, or foreign law, including without limitation all claims arising out of, or relating to, in whole or in part, the claims or facts and circumstances asserted in this Action.
