Buyers shall offer employment, effective as of the Closing Date, to substantially all of the Covered Employees (other than the Seller Retained Employees, which neither Buyer shall employ without the prior written consent of Sellers) as of the Closing Date in sufficient numbers and at sufficient terms and conditions of employment so as to give rise to no Seller obligation or liability under the WARN Act with respect to any Covered Employee.
The Sellers and the Shareholders shall be responsible and liable for any and all severance obligations with respect to the Seller Retained Employees, provided, however, that the Buyer shall make COBRA coverage available to the Sellers' COBRA beneficiaries, at Buyer's COBRA rates, from and after the date on which the Sellers terminate and cease to provide a group health plan.

Buyer shall be solely responsible and liability for providing, or continuing to provide, heath care continuation coverage as required under COBRA with respect to any individual who experiences a COBRA “qualifying event” in connection with the transactions contemplated by this Agreement (excluding the Seller Retained Employees).
Parent shall be solely responsible and shall indemnify and hold harmless Buyer, the Transferred Companies and their respective Affiliates from Losses relating to the terminations or transfers of employment of Remote Employees and Seller Retained Employees described in this Section 9.3(b), other than, in the case of the Remote Employees, as a result of Buyer’s (or its Subsidiaries’) failure to comply with its obligations as set forth in this Section 9.3(b).
