To the Knowledge of the Target Companies, no condemnation proceeding or proposed Action or agreement for taking in lieu of condemnation with respect to the Mining Real Property is pending or threatened.
The Company must ensure that available cash is used to reduce the debt of the Indirect Target Companies prior to Completion.
