Real Estate Investment definition

Real Estate Investment means (i) any Real Estate Asset that is not used by the Borrower or its Restricted Subsidiaries for operational purposes (including, for the avoidance of doubt, any such Real Estate Asset (x) subject to a sale-leaseback, ground lease or other long-term net lease, in each case, in respect of which the Borrower or any of its Restricted Subsidiaries is the landlord or lessor, as applicable, (y) acquired in connection with a foreclosure or other exercise of remedies under any CRE Finance Asset and/or (z) which is, or is in the process of becoming, subject to any CRE Financing) and/or direct or indirect interests therein (including, without limitation, preferred equity and/or syndicated equity interests), and (ii) any rights, assets or investments similar to or derivative of, any item referred to in the foregoing clause (i) and/or the acquisition, financing, operation or administration thereof (regardless of whether or not the Borrower or any of its Restricted Subsidiaries owns the applicable Real Estate Asset or direct or indirect interest therein) (including, without limitation, management, franchise and/or other operational rights) and (iii) Capital Stock in any Person substantially all of whose assets, directly or indirectly, are comprised of one or more of the items referred to in the foregoing clauses (i) and/or (ii).
Real Estate Investment shall have the meaning set forth in Section 3(a) of the Participation Agreement.
Real Estate Investment means (i) the acquisition, construction or improvement of any real property, other than real property used by the Borrower or a Consolidated Subsidiary in the conduct of its Construction Business or (ii) any Investment in any Person (including Perini Land and Development or another Consolidated Subsidiary, but without duplication of any Real Estate Investment made by such Person with the proceeds of such Investment) engaged in real estate investment or development or whose principal assets consist of real property.

More Definitions of Real Estate Investment

Real Estate Investment means any direct or indirect investment in any interest in Real Property or in any Mortgage Loan, or in any Person whose principal purpose is to make any such investment.
Real Estate Investment means any debt or equity interest (or options or other instruments related thereto) in or relating to real estate used for retail purposes, including, without limitation, power, community, entertainment, neighborhood and strip shopping centers and enclosed malls (including pools or portfolios thereof), or companies which own such real estate.
Real Estate Investment means both Properties and Real Estate Debt Investments, including Real Estate Investments acquired by the Partnership through Tenant-in-Common or DST Interests.

Real Estate Investment means, for any Person, (a) the purchase, acquisition, investment, or ownership (whether in fee or via ground lease but excluding those financed pursuant to Exempt Construction Loans) of real property (including, without limitation, all buildings, fixtures, or other improvements located thereon) by such Person, (b) the Investment by such Person in Unconsolidated Entities formed for, or engaged primarily in, real property development and/or ownership, (c) the Investment by such Person in Stock of Persons that are special purpose entities formed to own one or more real properties, or (d) the Investment by such Person in Indebtedness secured by Liens in real property (including, without limitation, all buildings, fixtures, or other improvements located thereon).
Real Estate Investment means the Bank's investment in the subsidiaries, including equity interests in the subsidiaries, debt obligations of the subsidiaries held by the Bank, Bank guarantees of debt obligations issued by the subsidiary and held by others, extensions of credit or commitments of credit from the Bank to the subsidiary, and any extension of credit to any third parties for the purpose of making a direct investment in the subsidiary or an investment in any real estate asset in which the subsidiary has an interest. However, Real Estate Investment shall not include End Loans.
Real Estate Investment means, with respect to Sylvan, the direct or indirect Capital Contribution attributable to the Real Estate Assets, reduced by (i) any funds applied to the Sylvan Commitment pursuant to Section 4.1.3(i) hereof and (ii) any distributions to Sylvan pursuant to Section 4.1.3(ii) hereof.
