Borrower will continue to engage in the businesses presently conducted by it or the Permitted Uses as and to the extent the same are necessary for the ownership, maintenance, management, leasing and operation of the Properties, and it being understood and agreed that a temporary closure or minimization of operations at the Properties as a result of a Force Majeure event shall not be deemed a breach of this covenant.
The Subtenant may use the Subleased Premises for the Permitted Uses and in accordance with and subject to the terms and conditions set out in any Laws, this Sublease and any other agreement to which the Subtenant is a party and the Subtenant will not use or permit to be used the Subleased Premises or any portion of the Subleased Premises for any other use or purpose.
Borrower shall keep and maintain all Licenses necessary for the operation of each Individual Property for the Permitted Uses, to the extent the failure to not have such Licenses would have an Individual Material Adverse Effect on such Individual Property.
Borrower shall, at all times during the term of the Loan, continue to own or lease (or Manager, as agent for Borrower, in accordance with the Management Agreement, shall lease) all Equipment, Fixtures and Personal Property which are necessary to operate the Properties in accordance with the Permitted Uses, provided that the foregoing shall not be deemed to prohibit or restrict any Permitted Equipment Transfer.
The Subtenant will not cause, permit or suffer any rubbish, garbage, solid waste or debris on or within the Subleased Premises or the Common Area except in suitable containers and as may be reasonably necessary and in accordance with the Permitted Uses and any Laws.
